一带一路与跨境并购

【摘要】：正"一带一路"倡议提出3年多来,已有100多个国家和国际组织参与,40多个国家和国际组织与中国签署了合作协议。本文从跨境并购的整个流程出发,对并购前、并购中、并购后三个阶段可能存在的风险和挑战作出提示,并重点阐述如何通过尽职调查、项目管理和人事安排等举措进行应对,以提高中国企业跨境并购成功的可能性,真正实现与"一带一路"沿线国家的共赢共享发展。并购前:通过尽职调查助力并购决策,制定高管留用方案确保并购价值
[Abstract]:Since the "Belt and Road" initiative was put forward for more than three years, more than 100 countries and international organizations have signed cooperation agreements with China. Starting from the whole process of cross-border M & A, this paper suggests the possible risks and challenges in the three stages of M & A before and after M & A, and focuses on how to deal with them through due diligence, project management and personnel arrangements. In order to improve the possibility of cross-border M & A success of Chinese enterprises, and realize the win-win shared development with the countries along the "Belt and Road". Before M & A: assist M & A decision through due diligence, develop executive retention plan to ensure M & A value
