我国国有企业董事会制度的相关问题研究

【摘要】:在企业治理机制中,董事会向上对公司股东会负责,向下监督公司经理层的工作,处在承上启下的核心枢纽环节之中,其职能的实现,直接关系到企业的持续经营和发展。当前,我国国有企业的改革以公司制改革为主要方向,董事会制度是否健全,就成为了国有企业良性经营和持续发展的关键。而董事会制度的完善和有效实施,必定需要与其相对应的法律体系作为后盾保障。论文以国有企业董事会制度为内容核心,以经济和法律为视角,以基本概念解析—现状问题分析—国外发展状况与启示—制度完善法律建议为逻辑线索,逐步展开书写。论文中对国有企业及其董事会制度进行了简要概述。首先,对国有企业进行了概念界定,对国有企业在实践中的延伸进行了认定,明确了本文针对研究的国有企业的范围,随后对其中最为关键的国有资产经营公司进行了详细论述。其次,对国有企业董事会制度进行了解析,阐述了国有企业董事会制度的必要性和本质特点;论文从经济和法律的视角,对我国国有企业董事会制度发展现状进行描述,以崭新的角度从管理、监督和责任追究三方面提出国有企业董事会制度在发展中所存在的问题;论文分别对美、德、新加坡三国的国有企业董事会制度发展现状进行了概述,然后将三者相互对比,得出其各自的特点及优缺点,并从中寻找完善我国国有企业董事会制度的启示;论文通过上文论述内容,从管理、监督和责任追究三方面,提出了完善我国国有企业董事会制度的若干法律和实践建议。其中,创新提出建立国有企业信息公开平台,加强对国有企业的外部监督,加速健全国有企业董事会制度。
[Abstract]:In the corporate governance mechanism, the board of directors is responsible to the shareholders' meeting up and down to supervise the work of the company's manager layer. The realization of its functions is directly related to the sustainable operation and development of the enterprise, which is in the key link linking the above with the next, and the realization of its functions is directly related to the sustainable operation and development of enterprises. At present, the reform of state-owned enterprises in our country takes the reform of company system as the main direction. Whether the board of directors system is perfect or not has become the key to the healthy operation and sustainable development of state-owned enterprises. The perfection and effective implementation of the board of directors system must be supported by the corresponding legal system. Taking the system of the board of directors of state-owned enterprises as the core of contents, from the perspective of economy and law, the thesis begins to write gradually with the analysis of the basic concept-the analysis of the present situation-the development and enlightenment of foreign countries-the legal suggestion of perfecting the system as the logical clue. The paper gives a brief overview of the state-owned enterprises and their board of directors system. First of all, it defines the concept of state-owned enterprises, identifies the extension of state-owned enterprises in practice, and clarifies the scope of the state-owned enterprises studied in this paper. Then the most key state-owned asset management companies are discussed in detail. Secondly, the system of board of directors of state-owned enterprises is analyzed, and the necessity and essential characteristics of the system of board of directors of state-owned enterprises are expounded. From the perspective of economy and law, this paper describes the current situation of the development of the board system of the state-owned enterprises in China, and puts forward the problems existing in the development of the board system of the state-owned enterprises from the aspects of management, supervision and accountability from a brand-new angle. The paper summarizes the current situation of the state-owned enterprise board system development in the United States, Germany and Singapore, and then compares them with each other, and obtains their respective characteristics, advantages and disadvantages. And look for the inspiration of perfecting the board system of the state-owned enterprises in our country; Through the discussion above, this paper puts forward some legal and practical suggestions to perfect the board system of state-owned enterprises in China from three aspects: management, supervision and accountability. Among them, innovation put forward to establish a platform for information disclosure of state-owned enterprises, strengthen external supervision of state-owned enterprises, and speed up the improvement of the board system of state-owned enterprises.
