产权合约视角下HT证券经纪人管理制度优化研究

【摘要】：从证券经纪人发展历程和法规制度演变来看，无论是法规制度制定还是管理制度模式，要看到当前中国证券经纪人从其诞生之初就具有与经纪人本身含义相背离的制度设计误区。中国的证券经纪人执业的低端化、无序化形态是其营销身份而非中介身份的尴尬表现。本文以全国知名券商HT证券为研究对象，从公司成长历程、经纪业务发展状况和现有的经纪人管理结构入手，探讨我国证券行业经纪人管理的相关问题和困境。通过对HT证券全国范围内的证券经纪人调研走访过程，从证券经纪管理人员和证券经纪从业人员两方面的面谈采访和数据搜集分析，解构了当前证券经纪人发展困局和症结：不清晰的产权配属关系，导致证券经纪人与券商利益相偏离。从产权结构入手，将证券经纪人管理实践与产权理论模型进行有效结合，分析当前中国券商和经纪人的产权利益关系，提出将证券经纪业务的产权分析角度由传统的经纪人与客户关系转变为经纪人与券商关系，并将客户资源视为产权归属资源。处理经纪人与券商在客户资源上的产权归属矛盾是解决当前证券经纪人管理的要害。在此理论分析基础上，提出构建HT证券经纪人综合管理平台，在将组织结构逐渐扁平化过程中，，依靠建立的双层合同体系，将客户资源产权内部私有化。最后，从法规制度、政策扶持、人力资源、信息系统四个方面提出相应的保障措施。
[Abstract]:From the perspective of the development of securities brokers and the evolution of laws and regulations, whether it is the establishment of laws and regulations or the mode of management system, It is necessary to see that the Chinese stockbrokers have misunderstandings in system design from the beginning of their birth, which deviate from the implication of the brokers themselves. The low-end practice and disorderly form of securities brokers in China are the embarrassment of their marketing identity rather than intermediary identity. This paper takes HT Securities as the research object, starting with the growth course of the company, the development of brokerage business and the existing management structure of brokers, discusses the related problems and difficulties of broker management in China's securities industry. Through the investigation and visit process of the securities brokers in the whole country of HT Securities, interviews and data collection and analysis are conducted from the two aspects of securities brokerage managers and securities brokerage practitioners. It deconstructs the current difficulties and the crux of the development of securities brokers: the unclear relationship between property rights and property rights leads to the deviation between the interests of securities brokers and securities dealers. Starting with the structure of property right, this paper combines the management practice of securities broker with the theoretical model of property right effectively, and analyzes the relationship between property right interests of securities dealers and brokers in China at present. It is proposed that the traditional relationship between broker and customer should be changed into the relationship between broker and broker, and that the customer resources should be regarded as the ownership resource of property right. It is the key to solve the problem of securities broker management to deal with the contradiction of ownership between broker and broker in customer resources. On the basis of this theoretical analysis, it is proposed to construct a comprehensive management platform for HT securities brokers. In the process of flattening the organizational structure gradually, the internal privatization of customer resource property rights depends on the bilevel contract system established. Finally, from the legal system, policy support, human resources, information system four aspects of the corresponding safeguards.
