中外产业投资基金法律制度的研究

【摘要】：随着经济的发展，产业和金融的结合越来越紧密。没有金融的有力支持，将很难实现产业的快速发展；缺乏产业的依托，金融也将失去其载体。产业投资基金就是在产业成长过程中，产业和金融结合的一种创新形式，是一种以促进产业发展为目标、支持经济发展的创新投资工具。产业投资基金当前已经成为全球市场上的一个重要的投资来源，我国的产业投资基金近年来也发展迅速，其作为一种重要的投资基金形式，对我国经济的发展起着重要的推动作用。然而，我国的产业投资基金是在相关法律制度层面不高、内容不完善的环境下起步的，现有的某些法律制度甚至构成对我国产业投资基金进一步发展的阻碍。因此，进一步完善我国产业投资基金的法律制度，对促进产业投资基金在我国的健康发展来说意义重大。本文首先从产业投资基金的基本理论入手，分析其基本的定义、特征及包含的种类，之后分析本土产业投资基金发展存在的特点和遇到的法律障碍，然后通过对英、美等发达国家的相关法律制度成功经验的总结，联系中国的实际情况，为中国产业投资基金法律制度的完善提出可供参考的建议。在章节安排上，包括引言，全文共分五部分展开。第一部分，引言。这一部分阐述了本文的选题背景和研究意义，介绍了本文的研究方法与创新之处。第二部分，论述了与产业投资基金相关的理论背景。通过阐述产业投资基金这一概念在中国的演绎，并与相关类似概念进行甄别，以明确本文对产业投资基金的界定，从而确定本文的研究对象。然后，较为系统的阐述了产业投资基金的特征和种类，以为后面的论述打下基础。第三部分，我国产业投资基金的实践发展与法律现状。本章前半部分主要分析了中国产业投资基金发展的总体状况，包括发展历程、发展现状，指出了发展中存在的主要问题。后半部分，着重分析了我国产业投资基金相关的立法现状，指出我国发展产业投资基金所面临的主要法律问题。第四部分，域外相关制度的比较研究。本章归纳总结了英、美等发达国家产业投资基金的发展历程和立法总体状况，并针对第三章中我国发展产业投资基金存在的法律障碍，分析了国外在相关立法中的成功经验，这对完善我国产业投资基金法律制度具有十分重要的借鉴意义。第五部分，我国产业投资基金的立法建议。本部分，，笔者在借鉴国外成功立法经验的基础之上，联系中国实际问题，探讨了中国产业投资基金的立法模式.同时，针对中国在产业投资基金市场准入机制、有限合伙型法律规制、税收优惠及退出机制方面存在的具体法律问题提出相关完善建议。
[Abstract]:With the development of economy, the combination of industry and finance is more and more close. Without the support of finance, it will be difficult to realize the rapid development of industry, and without the support of industry, finance will lose its carrier. Industrial investment fund is an innovative form of combining industry and finance in the process of industrial growth. It is an innovative investment tool which aims at promoting industrial development and supports economic development. Industrial investment funds have become an important source of investment in the global market. Industrial investment funds in China have also developed rapidly in recent years, as an important form of investment funds. It plays an important role in promoting the economic development of our country. However, the industrial investment fund of our country started in the environment of the related legal system is not high, the content is not perfect, and some existing legal systems even constitute the obstacle to the further development of the industrial investment fund of our country. Therefore, it is of great significance to further improve the legal system of industrial investment funds in promoting the healthy development of industrial investment funds in China. This paper begins with the basic theory of industrial investment fund, analyzes its basic definition, characteristics and types, then analyzes the characteristics of the development of local industry investment fund and the legal obstacles encountered, and then analyzes the legal obstacles encountered in the development of local industrial investment fund. This paper summarizes the successful experiences of the relevant legal systems in the United States and other developed countries and puts forward some suggestions for the perfection of the legal system of China's Industrial Investment Fund in light of the actual situation in China. In chapter arrangement, including introduction, the full text is divided into five parts. The first part, introduction. This part describes the background and significance of this paper, introduces the research methods and innovations. The second part discusses the theoretical background related to industrial investment funds. By expounding the deduction of the concept of industrial investment fund in China and discriminating with the similar concepts, this paper defines the industrial investment fund and determines the research object of this paper. Then, it systematically expounds the characteristics and types of industrial investment funds, laying the foundation for the following discussion. The third part, the practice development and the law present situation of the industrial investment fund of our country. The first half of this chapter mainly analyzes the general situation of the development of China's Industrial Investment Fund, including the development process, the development status quo, and points out the main problems in the development. In the second part, the author analyzes the current legislation of industrial investment fund in China, and points out the main legal problems facing the development of industrial investment fund in China. The fourth part, the comparative study of the extraterritorial system. This chapter summarizes the development of industrial investment funds in the United Kingdom, the United States and other developed countries and the overall status of legislation, and in the third chapter, in view of the legal obstacles to the development of industrial investment funds in China, it analyzes the successful experience of foreign countries in the relevant legislation. It is of great significance to perfect the legal system of industrial investment fund in our country. The fifth part, the legislation suggestion of our country industry investment fund. In this part, the author discusses the legislative model of China Industrial Investment Fund on the basis of foreign successful legislative experience and the actual problems in China. At the same time, some suggestions are put forward to improve the market access mechanism of industrial investment fund, limited partnership legal regulation, tax preference and exit mechanism.
