国有企业决策责任制度之完善

【摘要】:国有企业自其成立以来对世界经济的稳定一直有着十分重大的作用。自从第二次世界大战之后世界各国对国有企业维护经济稳定作用的愈加重视,国有企业的数量也因此迅速增多。国有企业对于国家经济整体态势的稳定起着重要的作用,从宏观上来说它是调节经济健康发展的重要杠杆,从微观上更是市场经济中个体企业和公司发展的风向标,因此,国有企业经营和运营一直是各国关注的主要焦点。国有企业从本源上来说是一种比较特殊的公司,对于一个公司而言最重要的莫过于经营决策的责任人,他是公司运营的大脑和最核心的部分,因此决策责任制度的完善和改进是企业做出高效、科学决策的前提和基础。我国国有企业中股东对决策表决机制不重视导致出现国有企业决策效率不高、决策程序不民主以及决策的执行效果不佳等问题,要激发国有企业的经营和自主创新的能力,首先得完善我国国有企业决策责任制度,并对企业内部决策主体和决策的相关制度进行改善和提高。国有企业决策责任机制的完善与否是国有企业发展速度和状态提高与改善的前提。竞争性国有企业以市场为主导的倾向使得该类国有企业必须走与现代公司治理机制相结合道路,并对决策主体的决策责任进行进一步的完善,只有这样才能进一步的激发国有企业在市场经济下的活力,发挥维护经济发展稳定和执行国家整体经济政策的作用,同时国有企业更应该随着时代潮流完善企业内部的决策责任制度发挥国有企业的作用。本文主要是以国有企业决策主体的决策责任为主要论述对象,文章主要分为四个大部分进行说明,第一部分是对现代公司治理机制和国有企业治理和决策制度的基本理论的阐释和说明,并对公司内部的治理机构和国有企业内部的决策机构进行整体介绍和梳理;第二部分是对国有企业决策责任制度的历史变革和改革现状的说明,主要以我国国有企业相关改革的立法成就和我国国有企业目前实践的现状来说明国企改革取得进步和不足,接下来就是对国有企业现存的不足和出现相关问题的原因进行简要介绍和分析;第三部分是对国外各国国有企业决策责任制度的概况介绍,主要选取了以美国的董事会为中心的单一制决策责任制度,德国的董事会、监事会为中心的双层决策责任制度和以日本为主要代表的亚洲国家采用的董事会领导下的行政首长负责的决策责任制,还有目前最为世界各国所借鉴和推崇的新加坡的以市场调节为主政府管理为辅决策责任制度进行介绍和说明,同时对其特点、发展趋势进行相关总结,最后阐释了国外各国有企业的决策责任制度对我国国有企业决策责任制度的启示和相关经验的借鉴;第四部分是对国有企业决策责任制度完善的总体思路的介绍和具体建议的阐述。本文的写作目的是寻找与我国目前社会经济,政治环境发展相适应的高效、科学的国有企业决策责任制度。主要的内容是针对我国国有企业决策责任制度的现状,并同时结合我国的政治、经济、文化背景和社会环境对我国国有企业相关基本理论进行阐述,同时对国有企业的决策责任制度与现代公司内部治理和决策机制相互比较,同时借鉴国际先进国有企业决策责任制度的成果,找出我国国有企业目前存在的问题和不足并完善国有企业的董事会成员的追责方式。本文的创新点主要是以现代公司治理中的决策责任制度和国有企业决策责任制度为文章的两条主线,在对两条主线各自的理论进行介绍之后以借鉴和吸收现代公司决策责任的优点为主要目的,并对国有企业本身存在的问题有针对性的解决得出国有企业决策责任相关完善的整体思路的具体意见和具体建议。综上所述,国有企业的决策责任制度的完善是本文的主要论述部分,是以完善国有企业董事会和高级管理人员的决策责任制度来提高国有企业的决策效率,使得国有企业能在市场竞争的环境下持续、健康、稳定的发展,确保其在国民经济中作用的充分发挥。

The purpose of this paper is to find an efficient and scientific decision-making system of state-owned enterprises that are compatible with the current socio-economic and political environment development of our country. The main content is the present situation of the decision-making responsibility system of state-owned enterprises in China, and the basic theory of state-owned enterprises in China is discussed in the light of the political, economic, cultural background and social environment of our country. At the same time, the system of decision-making responsibility of state-owned enterprises and the internal governance and decision-making mechanism of modern company are compared with each other, and the result of decision-making responsibility system of state-owned enterprises is used for reference. To find out the existing problems and shortcomings of state-owned enterprises in our country, and to improve the way of accountability for the members of the board of directors of state-owned enterprises. The innovation point of this paper is mainly to take the decision-making responsibility system and the state-owned enterprise decision-making responsibility system in the modern corporate governance as the two main lines of the article.
