深圳电力行业多种经营企业改制模式研究

【摘要】:改革开放以来,国有企业掀起了一轮又一轮的体制机制改革,推动了国有企业健康发展。电力行业多种经营企业依托电力企业产生,对电力企业的依赖性较强,体制机制改革关注度不高。电力行业多种经营企业面临着诸多发展问题,体制改革是解决的根本途径。改革模式是体制改革的基础和灵魂,决定着改革的方向,对改革成败起到关键作用。本文以深圳电力行业多种经营企业改革模式为研究对象,首先对改革模式的理论基础进行了阐述,主要包括科斯成本交易理论、企业边界理论、威廉姆斯的企业边界理论等;其次,阐述了目前多经企业改革的几种常见模式,包括直接出资模式、渐进式模式、债权变动式模式、混合模式等;然后,对深圳电力多种经营行业的现状进行分析,指出了存在的观念性和制度性问题,并说明了深圳电力多种经营企业改革的重要性、改革的政策支撑和受益者;最后,以PN公司为研究案例,对深圳电力多经企业改革模式的设计进行了分析,指出了改制的基本路线、改制模式设计等,并对PN公司改制后进行了SWOT分析,提出了改革后的市场应对方案。本文以PN公司为研究案例,对深圳乃至全国的电力行业多种经营企业的改制都具有一定的借鉴意义。
[Abstract]:Since the reform and opening up, state-owned enterprises have set off round after round of system and mechanism reform, promoting the healthy development of state-owned enterprises. The diversified enterprises of electric power industry rely on the electric power enterprises, which depend on the electric power enterprises strongly and pay less attention to the reform of the system and mechanism. Power industry diversified enterprises are faced with many development problems, system reform is the fundamental way to solve the problem. The reform mode is the foundation and soul of the system reform, determines the direction of the reform, and plays a key role in the success or failure of the reform. This paper takes Shenzhen electric power industry diversified enterprise reform mode as the research object, first of all has carried on the elaboration to the reform pattern theory foundation, mainly includes the Coase cost transaction theory, the enterprise boundary theory, Williams' enterprise boundary theory and so on; Secondly, this paper expounds several common modes of multi-economic enterprise reform, including direct contribution mode, progressive mode, creditor's rights change mode, mixed mode, etc. Then, the paper analyzes the current situation of Shenzhen electric power diversified operation industry. This paper points out the problems of concept and system, and explains the importance, policy support and beneficiaries of the reform of Shenzhen Electric Power Diversified Enterprises. Finally, taking PN Company as a case study, This paper analyzes the design of the reform mode of Shenzhen Electric Power Multi-Economic Enterprise, points out the basic route of the reform, the design of the reform mode, and analyzes the SWOT after the reform of PN Company, and puts forward the market countermeasures after the reform. This paper takes PN Company as a case study, which has certain reference significance for the reform of power industry diversified enterprises in Shenzhen and even all over the country.
