论商业贿赂行为及其法律防范

【摘要】： 商业贿赂行为是指在商品交易中经营者采用财物和其他手段暗中收买交易对象或有关人员，以获得交易机会或有利交易条件的行为。商业贿赂行为在世界各国普遍存在，也是许多国家的竞争法所禁止的不正当竞争行为。在我国，随着市场竞争的日益激烈，商业贿赂行为也日渐严重，扰乱了市场经济秩序，加剧了行业不正之风，，滋生了腐败现象。因此，加强对商业贿赂行为的研究，并在借鉴国外有关立法经验的基础上，尽快完善我国反商业贿赂行为的立法，对于建立必要的市场竞争秩序，推动我国社会主义市场经济的健康发展有着重要的理论意义和实践意义。本文共分四个部分。第一部分简要地阐述了商业贿赂行为的概念、特征、构成要件和表现形式等，着重分析了商业贿赂与一般经济贿赂的区别和联系，并结合现实概括了常见的典型的商业贿赂的具体手段。第二部分介绍世界各国有关商业贿赂行为立法概况。西方国家如美国、德国、日本、英国等都根据本国经济交往中的实际现象和法律传统，对商业贿赂行为做出了相关规定。这些立法经验各有特点，给我国反商业贿赂行为的立法以很大启示。第三部分分析我国现行法律体系中商业贿赂行为规定的现状和不足。作为规制不正当竞争行为的专门法律，我国《反不正当竞争法》对于防范和制止商业贿赂行为起到了突出作用。但《反不正当竞争法》存在概念模糊、过于简约、操作性差等缺陷，给执法带来了一定难度。而作为对商业贿赂犯罪进行制裁的刑事法律规范，《刑法》未确立商业贿赂罪的独立地位，商业贿赂犯罪始终作为公职贿赂犯罪的一种附属形式存在，不利于追究商业贿赂犯罪的刑事责任。第四部分提出完善我国防范商业贿赂行为的法律对策。主要是健全《反不正当竞争法》、《刑法》等法律对商业贿赂行为的调整，尤其要区分商业贿赂与回扣、附赠等相关行为，并在实际执法和司法过程中注意几种界限的划分。
[Abstract]:Commercial bribery refers to the commercial bribery that the business operators use property and other means to buy off the trading object or related persons in order to obtain trading opportunities or favorable trading conditions. Commercial bribery is widespread in the world. It is also prohibited by the competition law of many countries. In our country, with the increasingly fierce competition in the market, commercial bribery is becoming more and more serious, which disturbs the order of market economy and intensifies the unhealthy trend of the industry. Therefore, strengthen the research on commercial bribery, and based on the experience of foreign countries, improve the legislation of anti-commercial bribery as soon as possible, in order to establish the necessary order of market competition. It is of great theoretical and practical significance to promote the healthy development of socialist market economy in China. This paper is divided into four parts. The first part briefly describes the concept, characteristics, elements and forms of commercial bribery, focusing on the analysis of commercial bribery and the general economic bribery differences and relations. The second part introduces the legislation of commercial bribery in the world. China's Anti-unfair Competition Law has played a prominent role in preventing and suppressing commercial bribery, but the concept of Anti-unfair Competition Law is vague, too simple, and so on. It has brought some difficulties to law enforcement. As a criminal legal norm for punishing commercial bribery crimes, the Criminal Law has not established the independent status of commercial bribery crimes, and the commercial bribery crime has always existed as a subsidiary form of public bribery crimes. Part 4th puts forward the legal countermeasures to improve the prevention of commercial bribery in China. The main purpose is to improve the adjustment of commercial bribery by law such as Anti-unfair Competition Law and Criminal Law, etc. In particular, it is necessary to distinguish commercial bribery from kickbacks, gifts and other related acts, and pay attention to the demarcation of several boundaries in the actual law enforcement and judicial process.
