论公司参与人的环境损害赔偿责任

【摘要】：我国亟需建立公司参与人的环境损害赔偿责任制度,以完善责任主体齐全、责任形式多样的环境损害赔偿责任体系。可以通过"公司法人人格否认"制度设计,让控股股东承担环境损害赔偿责任;可以通过"认定实际经营者"制度设计,使公司实际控制人承担环境损害赔偿责任。在坚持公司的有限责任原则下进行制度修正,建立公司参与人的环境损害赔偿责任制度,显然具有伦理与法理上的正当性。建立公司参与人环境损害赔偿制度,可以增加激励机制,强化预防原则在环境法领域的具体适用。作为环境损害赔偿主体的公司参与人,主要是股东、董事和经理。公司参与人的环境损害赔偿范围应按其股东与公司人格混同、资本不足与实际控制、直接积极的参与、控制与阻止能力等不同情况来界定。
[Abstract]:It is urgent for our country to establish the liability system of compensation for the environmental damage of the company, in order to improve the liability system of environmental damage compensation in various forms of liability, which can be designed by the "corporate personality denial" system, and let the controlling shareholders undertake the liability for compensation for the environmental damage; it can be designed by the "cognizance of the actual operator" system. The actual controller of the company is responsible for the compensation of environmental damage. It is obvious that the system amendment of the company's limited liability and the establishment of the liability system of environmental damage for the participants of the company obviously have the ethical and legal justification. The establishment of the compensation system for the environmental damage of the company participates in the system, which can increase the incentive mechanism and strengthen the precautionary principle. The specific application of the field of environmental law. As the principal part of the compensation for environmental damage, the company participates, mainly shareholders, directors and managers. The scope of compensation for the environmental damage of the company participants should be defined according to the differences between the shareholders and the company's personality, the lack of capital and the actual control, the direct active participation, the control and the ability to stop.
