【摘要】:经过35年的改革开放,中国经济已然成为“世界引擎”。从全球范围来看,国与国之间的竞争越来越体现为大企业之间的竞争,大企业集团的运行已经不再是简单的经济行为,实际上已成为是各国提高综合国力和抢占全球市场份额提高市场竞争力的重要手段。改革开放后的中国经济得到充分发展,在国际上的影响也更加深远。中国企业,尤其是国有企业以及作为“精锐部队”的中央企业,是助推中国经济实现快速赶超的强大引擎。培育一批具有国际竞争力的一流企业,是中国经济发展的动力和源泉,对拉动国内经济发展发挥着关键性作用。在经济全球化背景下,要维护本国企业的国际地位和经济利益,提高企业的国际竞争力是一条必由之路。2013年11月,十八届三中全会提出深化国企改革,积极发展混合所有制经济,完善国有资产管理体制。2015年9月国资委出台了《关于国有企业发展混合所有制经济的意见》,提出推进国有企业改革,制定中央企业结构性调整与重组方案,分层推进国有企业混合所有制改革,鼓励国有企业通过整体上市、并购重组等方式,逐步调整国有股权比例,积极引入各类投资者,形成股权结构多元化、运行高效灵活的经营机制。这为未来的国企改革工作指明了方向。并购重组作为提高中央企业国际竞争力最重要的途径之一,其成效到底如何,怎样发挥其在提升中央企业国际竞争力中的积极作用值得深入研究。中央企业对我国国民经济有着重要影响,研究中央企业重组及其国际竞争力提升问题不仅具有重要的理论价值,也有重大的现实意义。论文主要内容如下:首先,在对国内外关于国际竞争力和企业重组关系的研究文献进行梳理的基础上,分析了国际竞争力与企业重组的相关理论,并对中央企业重组与央企国际竞争力的相关理论进行阐述。通过进一步分析中央企业的性质和地位,说明了增强中央企业国际竞争力的必要性,而重组是提升央企国际竞争力的必然途径。进而建立了“一个标杆、两个层次,四个维度”的中央企业国际竞争力评价指标体系。并通过构建中央企业的国际竞争力钻石模型,提出了提升中央企业国际竞争力的六大路径,即“做大——扩大企业规模”路径、“做强——提高盈利能力和运营效率”路径、“做优——提升成长能力和创新能力”路径、“世界一流——提高资源配置能力和管理”路径以及“机遇——改善外部竞争环境”路径和“政府——深化国企改革”路径。其次,通过分析中央企业的发展现状,包括对中央企业规模、发展速度、经济地位、运营效益和行业布局等多维度研究的基础上对从中央企业并购重组历史沿革和重组模式等方面的总体形势进行判断,在此基础上说明央企重组取得的成效和经验,并对存在的问题和不足进行分析。总体而言,中央企业并购重组与整合取得了显著成效,主要体现在中央企业的布局结构得到优化,规模实力和市场竞争力显著增强,运营质量和效益明显提升。但央企“大而不强”、缺乏核心竞争力的问题还比较突出,行业布局有待改善,国际化经营还处于较低水平。接下来,对我国中央企业国际竞争力的现状进行研究,运用比较分析的方法,以世界500强企业作为标杆进行分层次、多维度地深入比较,分析了目前我国央企在国际中的地位以及与世界500强的优势和差距。尽管中央企业通过并购重组成效斐然,但与国际一流企业仍存在较明显的差距。虽然我国已明确提出了提质增效的发展目标,企业也在这方面做出了努力,但离世界一流企业这一目标还有较长的路要走。随后,本文基于中央企业在2006年至2014年间的财务数据,运用层次分析法(AHP)对我国的中央企业进行实证分析。并通过南北车重组、中粮和华润三个案例解析,在此基础上探析重组对中央企业国际竞争力的影响。最后,借鉴国外大型企业通过并购重组提升企业国际竞争力的经验,从影响我国中央企业国际竞争力的外部环境和内部环境作为落脚点,从国家层面和企业层面分别提出了相应的对策与建议。
