【摘要】:改革开放30多年来,中国传媒行业取得辉煌成就,也发生了深刻的历史变革,听广播、观电影、看电视已成为广大人民群众精神文化生活的重要组成部分[1]。我国传媒行业呈现高速发展态势。我国电影票房从2000年的8亿元增长到2012年的171亿元,年复合增长率达到29%。2012年中国电视广告收入突破千亿,而新媒体广告收入较2008年增幅超过10倍,达到67.20亿元。作为拉动电视和新媒体广告增长的重要因素,电视剧市场也处于高速发展的机遇期。 行业的高速发展必然带来行业涉及企业的不断扩张。在市场经济环境下,并购重组是传媒企业扩张的重要手段,是优化传媒行业资源配置,提升传媒行业整体竞争力的有力途径。2010年以来,作为文化产业核心产业层的传媒行业并购重组呈现加速态势。从传统媒体到新兴媒体,从国有传媒企业到民间传媒资本,传媒产业在快速发展中愈加彰显资本扩张的力量[2]。2013年,中国文化产业并购市场异常火热。据不完全统计,2013年文化传媒板块的并购案例50余起,涉及资金近400亿元。 在传媒行业如火如荼的并购潮中,本论文《HC影视股份公司并购KD传媒公司项目案例分析》将对刚发生不久的传媒行业的一起并购案例深入剖析,重点探讨在本次并购中,如何运用并购这种融资工具来实现本公司的全产业链布局的战略,,如何进行企业的价值评估,对并购方的持续竞争力产生哪些影响,并购支付方式如何确定。试图通过这些研究对类似传媒企业的并购行为提供参考和借鉴意义。
[Abstract]:Since the reform and opening up for more than 30 years, China's media industry has made brilliant achievements and has also undergone profound historical changes. Listening to radio, watching movies and watching television have become an important part of the spiritual and cultural life of the broad masses of the people [1].China's media industry presents a high-speed development trend.China's film box office increased from 800 million yuan in 2000 to 17.1 billion yuan in 2012, with a compound annual growth rate of 29.5 billion yuan in 2012 and a 10-fold increase in new media advertising revenue to 6.72 billion yuan over 2008.As an important factor to stimulate the growth of TV and new media advertising, the TV drama market is also in a period of high-speed development.The rapid development of the industry will inevitably bring about the continuous expansion of enterprises involved in the industry.In the market economy environment, M & A is an important means for media enterprises to expand. It is a powerful way to optimize the allocation of media resources and enhance the overall competitiveness of the media industry.As the core industry of cultural industry, the M & A of media industry presents an accelerating trend.From traditional media to emerging media, from state-owned media enterprises to private media capital, the media industry is increasingly showing the power of capital expansion in its rapid development.According to incomplete statistics, cultural media plate in 2013 M & A cases more than 50, involving capital of nearly 40 billion yuan.In the wave of mergers and acquisitions in the media industry, this paper, "A case study of the acquisition of KD Media Company by HC Film and Television Company", will analyze deeply a case of M & A in the media industry that has just just occurred, with an emphasis on the M & A in this merger.How to use the financing tool of M & A to realize the strategy of the whole industrial chain layout of the company, how to evaluate the value of the enterprise, what impact on the sustainable competitiveness of the M & A party, and how to determine the payment method of M & A.This paper attempts to provide reference and reference for M & A of similar media enterprises through these studies.
