【摘要】:内部承包合同是指企业与企业内部人员之间签订的,关于一定时间内,企业一定范围的经营管理权限划分,和有关权利义务分担的协议。该协议创设的法律关系有两个方面:于内部,企业和内部员工进行了权利义务的划分;于外部该员工以企业的名义从事生产经营,与第三方产生一定的权利义务关系。企业内部承包合同是市场自主选择的结果,尤其被中、小型有限责任公司广泛适用。近年来,企业内部市场化背景下的SBU经营模式的出现,使得大型股份有限公司中也更广泛的适用企业内部承包。但是对于何为企业内部承包,企业内部承包的性质、类型、效力和司法处理意见至今都未有统一的规定。关于内部承包效力的争论,多着眼于其与《公司法》中关于公司“三权分立”层级架构的规定是否存在冲突之上,而没有从市场管理和企业运行的角度,分析如何更好的发挥企业内部承包在经济活动中的作用,亦未讨论如何设置较为完善的企业内部承包合同规则体系。因此,在当前企业内包日趋普遍的背景下,明晰企业内部承包合同的性质、完善企业内部纠纷处理规范更加具有紧迫性。第一部分,文章从企业内部承包合同的产生背景开始论述,剖析企业内部承包的产生根源、发挥的作用和现实意义。明确内部承包合同的概念和类型,并提出本文主要研究的对象为企业独立型内部承包合同。提出管理型内部承包因为属于企业的内部管理措施,不具有外部性,属于法律不应干涉的公司自治范畴,因此对其的分析采取简单略过的方式。第二部分,文章对当前学术界有关企业内部承包合同效力的观点进行了简要的介绍,并提出自己的观点。学界观点主要分为三种:“无效说”、“有效说”和“折衷说”。分析的重点是其是否违反了公司法的强制性规范。笔者首先从《公司法》的相关规范是否为“效力性强制性规范”入手,进而从企业内部承包合同对公司的影响是否与《公司法》的基本原则和精神相悖的角度进行分析,最终笔者认为《公司法》关于“股东会”、“董事会”、“监事会”三会设置的规定并非强制性规范,企业内部承包合同是一种全新的经营模式,符合公司制度的精神也符合市场需求,不应否定其意义和效力。第三部分,企业内部承包合同的异质性分析。探究其效力的前提是了解企业内部承包合同与其他民事行为或者其他合同的不同之处,对其进行异质性分析。主要针对和其极为类似的挂靠、代理、承包经营责任制等进行对比,在比较中研究企业内部承包合同的特殊性。第四部分,根据搜集到的案例资料,针对实务中对企业内部承包合同纠纷司法处理意见不统一,相关部门出台的规定不统一的情形,笔者认为,应当加快构建审理此类纠纷的司法解释,并提出了完善企业内部承包合同适用的若干建议。与学理界关于内部承包合同效力的争论不同,笔者更加关注如何将该经营模式更好、更加规范地运用于市场,如何提供司法保障,该种保障应当不仅包括产生纠纷后的救济,还应包括制度设计层面的预防,即提供一定的原则性、倡导性规范,尽量减少企业内部承包合同采用过程中的漏洞,尽可能地规避风险。

In the first part, the article discusses from the background of enterprise internal contracting contract, analysis of the internal contract the origin, function and practical significance. The second part, the effect of the current academic circles about the internal contract view are introduced briefly., and put forward their own views.
