【摘要】:现代企业制度,是在英国工业革命后,随着企业管理的科学化和现代化,按照所有权和经营权的分离的原则逐步建立的企业制度。其特征是以现代公司制度为主体的企业组织形式。现代企业制度起源于英国,发展于美国,完善于日本。科学管理的思想和做法至今被许多国家和地区的公司企业参照采用。员工持股计起源于美国,因为迎合了各方面的利益要求,得到各方面的支持。目前国内外专家学者们对现代研究现代企业制度己经取得了一定的成果,研究出了一系列定性分析或定量研究的模型和方法。 本文在综合前人研究成果的基础上,通过产权制度改革把哈尔滨电影机械厂这个传统国有企业改造成具有“产权清晰、权责分明、政企分开、管理科学”特征的现代企业。企业改制贯彻积极稳妥、循序渐进的原则,采用直接改制“国有资本控股”模式。国企改革是世界性的难题,现代企业制度才能解决中国国有企业的问题。利用国家对国企改制的政策支持进行人员安置和企业办社会职能的分离。 文章展望了改制后企业的发展规划和愿景,新公司为国有股为主、内部职工持股参股的有限责任公司,建立了严谨的法人治理结构,按《公司法》等有关法律法规规范运作,建立建全法人治理结构,按照层层负责的方式把股东会、董事会、监事会和经理层的效能发挥出来。现代企业制度应该包括两个方面的内容:一是产权制度;另一个是公司治理结构。其中产权制度是基础,公司治理结构是公司良好运转的必要条件,,也是现代企业制度的核心内容,是对企业制度安排的具体化。 设计整合相同业务部门,利用原有控股企业平台,引入战略投资者增资扩股,凭借国家公布金融电子设备制造及系统建设属于鼓励类产业的契机,打造创业版准上市企业。结合国有企业劳动并轨设计了员工持股制度,阐述了员工持股会建立的程序,明确了员工持股会的职责和义务。实行员工持股制度是国有企业建立现代企业制度的需要,是全心全意依靠员工搞好企业、推进企业改革的一项重要措施。详细的预测了改制和搬迁改造所需的费用,科学设计资金的来源,合理规划资金的使用。土地出让资金为改制和搬迁提供了保障。

Based on the results of previous studies, through the reform of property right system of the Harbin film machinery factory for transforming the traditional state-owned enterprises with "clear property rights, clear responsibilities, separation of government and enterprise, modern enterprise management science" features. Enterprises carry out actively and steadily, step by step ", the" direct restructuring of state-owned capital holding mode. The reform of state-owned enterprises is a worldwide problem, the modern enterprise system in order to solve the problem of state-owned enterprises.
