中国A股上市公司现金分红的效应分析

【摘要】：强制上市公司现金分红是中国A股市场的一个突出现象。本文从财务效应、法治效应和市场效应三个角度对强制现金分红可能引致的种种情形进行了分析,认为证券监管部门运用行政机制直接介入上市公司的现金分红,既不利于维护股东权益,也不利于维护上市公司正常的经营运作秩序,因此,应从落实《公司法》有关条款出发,将股利分配政策的选择权交给股东大会。
[Abstract]:The compulsory cash dividend of listed companies is a prominent phenomenon in China's A-share market. This paper analyzes the possible situation of compulsory cash dividend from three aspects: financial effect, rule of law effect and market effect. It is considered that the use of administrative mechanism by securities regulatory authorities to directly intervene in cash dividends of listed companies is not conducive to safeguarding shareholders' rights and interests, nor to maintaining the normal operating order of listed companies. The right of choice of dividend distribution policy should be handed over to the general meeting of shareholders from implementing the relevant provisions of Company Law.
