【摘要】:《公司法》第183条对公司僵局规定了强制解散制度,但过于粗糙,不具备操作性,2008年出台的《最高人民法院关于适用中华人民共和国公司法若干问题的规定(二)》虽对公司僵局情形进行了明确,但有关公司僵局的解决机制的规定均是事后解决机制。本文通过对公司僵局及公司治理相关理论的分析及产生原因的探讨,阐述公司僵局与公司治理之间的关系,笔者认为公司僵局问题实质是公司治理问题,是公司治理制度缺陷导致治理失衡的结果。预防公司僵局,应当从公司治理层面进行分析、探讨及制度设计,实现公司僵局风险的事前控制。 本文从公司股权结构设置、股东会制度、董事会制度、监事会制度四个方面结合实务,分析各项治理制度产生公司僵局的原因,进而探讨在公司治理制度设计时科学的公司治理机制,同时提出僵局形成时内部解决机制。本文重点阐述了公司治理中的股权结构设置如何预防僵局风险,股东会、董事会制度设计如何防控股东会僵局、董事会僵局以及股东会与董事会僵局,并探讨了各类僵局出现时公司内部化解的机制。 虽然公司僵局及公司治理在国内外已经有几十年的研究历史,但是本文笔者在研究借鉴前人研究成果的基础上,依据中国现有公司法律规定,根据亲身实务经历以及公司法律师同事的实务经验和案例整理归纳总结,从非诉的角度,研究如何在公司治理中依靠制度设计预防僵局风险,同时预先设置僵局出现如何内部化解僵局风险的解决机制,提出自己的建设性意见。
[Abstract]:Section 183 of the Company Law provides for the mandatory dissolution of corporate deadlock, but it is too rough. In 2008, the provisions of the Supreme people's Court on the Application of the Company Law of the people's Republic of China (2) made clear the situation of the deadlock in the company. However, the regulations on the settlement mechanism of corporate deadlock are all ex post settlement mechanisms. This paper expounds the relationship between corporate deadlock and corporate governance through the analysis of related theories of corporate deadlock and corporate governance and the discussion of their causes. The author thinks that the problem of corporate deadlock is essentially a problem of corporate governance, which is the result of the imbalance of corporate governance caused by defects in corporate governance system. To prevent corporate deadlock, we should analyze, discuss and design the system from the aspect of corporate governance. Achieve prior control of corporate deadlock risk. This paper analyzes the causes of corporate deadlock in terms of corporate equity structure, shareholders' meeting system, board of directors system and supervisory board system. Then it discusses the scientific corporate governance mechanism in the design of corporate governance system, and puts forward the internal solution mechanism when the deadlock is formed. This paper focuses on how to prevent the risk of deadlock, shareholders' meeting, and how to set up the equity structure in corporate governance. How to prevent and control the deadlock of the shareholders' meeting, the deadlock of the board of directors and the deadlock between the shareholders' meeting and the board of directors are designed in the system of the board of directors, and the mechanism of resolving the various kinds of deadlock in the company is discussed. Although the corporate deadlock and corporate governance have been studied for several decades at home and abroad, the author of this paper based on the previous research results, according to the existing company laws and regulations in China. According to the personal practical experience and the company law lawyer colleagues' practical experience and case summary, from the point of view of non-litigation, this paper studies how to rely on system design in corporate governance to prevent the risk of deadlock. At the same time, we set up the settlement mechanism of how to resolve the risk of deadlock in advance, and put forward some constructive suggestions.
