论我国资本充实原则——结合日本公司法

【摘要】：资本充实原则是公司资本制度的重要原则,它关系到公司能否正常的运行、关系到债权人债权能否顺利的实现等。在新公司法发布以后,我国取消最低注册资本金的制度,资本充实原则显得更为重要。将结合日本公司法中关于资本充实原则的规定,来探讨如何完善我国的资本充实原则。
[Abstract]:The principle of capital enrichment is an important principle of the company's capital system, which is related to the normal operation of the company and the smooth realization of creditors' creditor's rights, etc. After the promulgation of the new company law, our country cancels the system of minimum registered capital. The principle of capital enrichment is more important. This paper will discuss how to perfect the principle of capital enrichment in our country in combination with the provisions on the principle of capital enrichment in Japanese Company Law.
