【摘要】： 公司一切权益的终极所有者是作为出资人的股东,但股东在现代公司法人治理结构下已逐渐退出了公司管理的第一线,而将公司经营权委托给董事、监事、经理等高级职员代为执行。在所有权和经营权的分离的情况下,管理人员经常因其有意或无意的不当管理行为而直接或间接侵害到股东的所有者权益;或者出于某种私利对于其他人侵犯公司权益行为怠于追究。有鉴于此,法律为股东设定了各种救济措施,其中提起诉讼,通过司法途径来矫正权利受侵,就是其中非常有力的一种措施,而且也是通过其他方式难以达到目的时的最后选择。本文的重点是,当董事、监事、经理等高级职员侵害公司权益而使股东间接受到损害时,受损股东赖以维护公司和其自身权益的派生诉讼制度及相关的一系列法律问题。通过对派生诉讼的基本概念、历史沿革、制度价值、制度运行及在中国的本土化研究等五个方面问题的探讨,介绍和梳理这一极具争议的制度的正反两方面问题并对其在我国的应用作一初步研究。
[Abstract]:The ultimate owner of all rights and interests of the company is the shareholder as the investor, but the shareholder has gradually withdrawn from the front line of the company management under the modern corporate governance structure, and entrusted the management right of the company to the directors and supervisors. In the case of separation of ownership and management rights, managers often directly or indirectly infringe on the owner's rights of shareholders because of their intentional or unintentional mismanagement. In view of this, the law has set up a variety of remedies for shareholders, in which litigation is instituted to rectify the infringement of rights through judicial channels. It is one of the most powerful measures, and it is also the last choice when it is difficult to achieve the goal by other means. The emphasis of this article is that when directors, supervisors, managers and other senior staff members infringe upon the rights and interests of the company and cause indirect damage to shareholders, The derivative litigation system and a series of related legal problems for the injured shareholders to protect the company and its own rights and interests. Through the basic concept, historical evolution, system value of derivative litigation, This paper discusses five aspects of system operation and localization research in China, introduces and combs the pros and cons of this highly controversial system, and makes a preliminary study on its application in China.
