论我国中小股东权益的法律保护

【摘要】：随着社会主义市场经济的发展,如何保护中小股东权益不受侵害已经成为保障公司健康发展的重要研究课题。我国现行《公司法》相较1993年《公司法》在保护中小股东权益方面完善许多,然而随着时间的推移,我国现行《公司法》逐渐暴露出一系列新的缺陷。本文在分析我国中小股东权益保护现状、探究中小股东利益受侵害原因、对比国外中小股东权益保护现状的基础上,提出了进一步完善我国中小股东权益保护制度的建议。
[Abstract]:With the development of socialist market economy, how to protect the interests of small shareholders are not infringed has become an important research topic to ensure the healthy development of the company. Our current company law > < < > in the 1993 company law of many perfect in terms of protection of minority shareholders, however, with the passage of time, China's current "company law" gradually exposed a series of new defects. Based on the analysis of present situation of the protection of the rights and interests of minority shareholders in China, to explore the interests of minority shareholders against the basic reason, compared to the foreign protection of the minority shareholders on the current situation, put forward to further improve the system of protecting the interests of small shareholders in China's proposal.
