【摘要】：本文立足于当前我国有限责任公司股东查阅权制度的立法规定和实施现状,基于对近年来我国人民法院审理的比较典型的股东查阅权案件的情况分析,运用比较研究、案例研究、归纳总结等方法,参考借鉴英美德等发达国家的公司立法,深入剖析我国现行股东查阅权制度的困境与问题,在此基础上对我国股东查阅权制度的完善提出建议,以期为推动我国公司法的发展贡献绵薄之力。具体而言,除引言和结语外,本文内容分为以下五章:第一章,问题提出:从几则案例引发的相关思考。本文首先提出四则典型案例,分析其存在的共性问题,从而引出本文论述的主题。第二章,股东查阅权概述。主要分析股东查阅权的基本理论,对股东查阅权的内涵、特征、性质及积极意义进行了界定。第三章,国内外股东查阅权的立法概况。在分析美国的股东查阅权制度、英国的检查人选任制度和德国的股东质询权制度的基础上,结合我国股东查阅权制度的立法现状,总结了国外立法对我国股东查阅权制度的启示。第四章,我国股东查阅权制度存在的问题。从立法论和解释论角度详细分析了我国股东查阅权制度存在的问题。第五章,完善我国股东查阅权制度的路径选择。结合存在的问题,借鉴外国立法的先进经验,从股东查阅权的主体、客体、程序、举证责任、正当目的、行使方式、救济途径等方面提出了可行性的完善建议。
[Abstract]:This paper is based on the current legislative provisions and implementation status of the shareholders' inspection right system of limited liability companies in our country. Based on the analysis of the typical cases of shareholders' inspection rights tried by the people's courts in our country in recent years, this paper applies comparative research.Case study, summing up and other methods, referring to the company legislation of developed countries such as Anglo-American and German, deeply analyzing the difficulties and problems of the current system of shareholders' right of inspection in China, and then putting forward some suggestions for the perfection of the system of the right of inspection of shareholders in our country.In order to promote the development of our company law contribution to a modest force.Specifically, in addition to the introduction and conclusion, the content of this paper is divided into the following five chapters: the first chapter, the question: from several cases triggered by the relevant thinking.In this paper, four typical cases are put forward, and their common problems are analyzed, which leads to the theme of this paper.The second chapter is the summary of shareholders'right of inspection.This paper mainly analyzes the basic theory of shareholder's right of inspection, and defines the connotation, characteristics, nature and positive significance of shareholder's right of inspection.The third chapter, the domestic and foreign shareholder inspection rights legislative survey.On the basis of analyzing the system of shareholders' right of inspection in the United States, the system of selecting and appointing inspectors in Britain and the system of shareholders' inquiry right in Germany, this paper combines the present legislative situation of the system of shareholders' right of inspection in our country.This paper summarizes the enlightenment of foreign legislation to the system of shareholder's right of inspection in our country.The fourth chapter, the problems existing in the system of shareholder's right of inspection in our country.From the angle of legislation and explanation, this paper analyzes in detail the problems existing in the system of shareholder's right of inspection in China.The fifth chapter, perfect the path choice of our country stockholder's inspection right system.Combining with the existing problems and drawing lessons from the advanced experience of foreign legislation, this paper puts forward some feasible suggestions from the aspects of the subject, object, procedure, burden of proof, legitimate purpose, way of exercising and the way of relief of the shareholder's right of inspection.
