股东网络表决制度研究

【摘要】：股东表决权的确立,体现了公司法的制度设计在于贯彻民主的同时,保证股东对公司的控制权。而随着公司及科技的不断发展和进步,传统的现场表决方式已不能适应现在e环境下的要求。为应对外部环境对公司治理及相关制度的冲击,各种相应的制度相继产生。而股东网络表决制度便是其中之一,本文即以我国网络表决制度的整体设计为中心,采用比较分析、法经济学等分析方法,主要阐述了网络表决的基础理论、价值及可行性、域外的现状与经验、我国不足与完善等内容。文章共分五部分,具体如下: 第一部分,以股东网络表决的基础理论入手,主要分析和表述了股东网络表决的概念、特征、性质及理论基础。为下一部的分析和讨论作出了理论支撑。第二部分,从股东网络表决的价值、缺陷方面入手,对股东网络表决的可行性进行了分析,并得出结论。第三部分,介绍和分析了域外国家和地区股东网络表决的现状及经验,为我国股东网络表决的完善提供借鉴。第四部分,从我国股东网络表决的现状及现行规定入手,分析了我国股东网络表决所存在的问题。第五部分,根据上文所提出的问题,根据我国股东网络表决的特点并借鉴域外国家和地区的先进经验,讨论了完善我国股东网络表决具体内容并提出建议。本文对股东网络表决制度做出详实的研究,并提出完善的建议。对我国股东网络表决实践和相关法律的的不断完善和发展起到了一定的研究和借鉴意义。
[Abstract]:The establishment of shareholders' voting rights reflects the system design of company law, which is to guarantee the shareholders' control over the company while carrying out democracy. With the continuous development and progress of the company and technology, the traditional field voting method can not meet the requirements of the current e environment. In order to deal with the impact of external environment on corporate governance and related systems, various corresponding systems have emerged. The shareholders' network voting system is one of them. This paper focuses on the overall design of our country's network voting system, adopts comparative analysis, law and economics and other analytical methods, mainly expounds the basic theory, value and feasibility of network voting. The present situation and experience of foreign countries, the deficiency and perfection of our country and so on. The article is divided into five parts, as follows: The first part, starting with the basic theory of shareholder network voting, mainly analyzes and expresses the concept, characteristics, nature and theoretical basis of shareholder network voting. It provides theoretical support for the analysis and discussion of the next part. In the second part, the author analyzes the feasibility of shareholder network voting from the value and defect of shareholder network voting, and draws a conclusion. The third part introduces and analyzes the status quo and experience of shareholder network voting in foreign countries and regions, and provides reference for the improvement of shareholder network voting in our country. The fourth part analyzes the problems existing in the shareholders' online voting from the current situation and current regulations of the shareholders' online voting in our country. In the fifth part, according to the problems raised above, according to the characteristics of shareholder network voting in our country and drawing lessons from the advanced experiences of foreign countries and regions, the paper discusses the concrete contents and puts forward some suggestions on how to improve the voting of shareholders' network in China. This paper makes a detailed study on shareholder network voting system and puts forward some suggestions. It has played a certain research and reference significance to the practice of shareholder network voting and the continuous improvement and development of relevant laws.
