公司相互持股法律问题研究

【摘要】: 随着经济全球化的发展,在激烈的国际竞争态势中,公司的组织模式早已突破了传统的单一公司形式,走入集团化。公司制度必然要进行革新,以适应和继续推动这种集团化趋势。 公司相互持股作为一种企业联合模式,有利于稳定相互持股公司之间的结盟合作关系,增强公司资本的积聚能力,降低交易成本,扩大企业科技投入,提高企业的核心竞争力,从而得以存在和发展。但从另一方面,公司相互持股也可能导致公司虚增资本、妨碍证券市场正常交易秩序等一系列问题。 在我国,公司的规模远远落后于发达国家,尤其在国有企业改革进程中和入世之后,面对当前激烈的国际竞争态势,如何通过公司相互持股,实现公司的集团化,如何有效规制公司的相互持股,发挥其优势,消除其弊端,是当前迫切需要解决的法律问题。
[Abstract]:With the development of economic globalization, in the fierce international competition situation, the organization mode of the company has already broken through the traditional single company form and stepped into the collectivization. The company system must carry on the innovation, adapts and continues to promote this kind of collectivization tendency. As a joint mode of enterprise, cross-shareholding is beneficial to stabilize the alliance and cooperation between the cross-shareholding companies, enhance the ability of capital accumulation, reduce the transaction cost, expand the scientific and technological investment of the enterprise, and improve the core competitiveness of the enterprise. Thus it can exist and develop. However, on the other hand, cross-shareholding may lead to a series of problems, such as increasing the capital of the company and hindering the normal trading order of the stock market. In China, the scale of the company lags far behind that of the developed countries, especially in the course of the reform of state-owned enterprises and after China's entry into the WTO, facing the current fierce international competition, how to realize the collectivization of the company through the cross-shareholding of the company. How to effectively regulate the cross-ownership of companies, give play to its advantages, eliminate its drawbacks, is the urgent need to solve the current legal problems.
