公司经理的权利、义务与法律责任

【摘要】:随着公司经理地位的不断提升,公司经理权的膨胀已经严重侵害到公司和股东的利益。应完善公司经理权制度,使其既能满足公司经营管理的需要,又能防止被不法滥用所产生的危害。明确公司经理的法律地位、权利、义务和责任,规范和约束公司经理行为。 公司经理是指执行董事会决策处于公司最高层的日常经营管理人员,是公司的代理人,公司董事会决议执行人。我国上市公司股权结构决定了我国上市公司经理的特点。人力资本理论和契约理论又对经理法律地位的认定有了不同的结论,公司经理的权力不断扩张,超出了代理人的权限范围,需要厘清。经理权包括对内管理权和对外代表权。法律对代表行为效力进行了规定。经理的内部管理权主要在于公司的授权,明确经理与董事的职权范围有利于控制经理的权力膨胀。公司经理的义务体系包括守法经营义务、忠实义务、注意义务。经理的义务标准与董事义务标准存在区别。经理承担了更高义务标准,其主观过错以一般过失为标准,而董事的过错以重大过失为标准。商业判断规则为我们考察经理义务履行情况提供依据。经理违反义务就应当承担相应的法律责任。经理承担责任的构成要件包括:(1)主体是公司经理(2)主观方面是主观上有过错以一般过失为标准(3)经理的行为与损害之间有法律上的因果关系(4)存在损害结果。我国公司法对公司经理法律责任的规定存在不完善之处,立法应加强经理对公司的民事责任,同时应建立经理对第三人的民事责任制度。
[Abstract]:With the continuous improvement of corporate manager status, the expansion of corporate manager power has seriously infringed on the interests of the company and shareholders. The system of company manager's right should be perfected so that it can not only meet the needs of company management, but also prevent the harm caused by illegal abuse. Clarify the legal status, rights, obligations and responsibilities of the company manager, and regulate and bind the company manager's behavior. Company manager refers to the executive board of directors at the highest level of the company's daily management personnel, is the agent of the company, the company's board of directors resolution executor. The ownership structure of listed companies in China determines the characteristics of managers of listed companies in China. The theory of human capital and the theory of contract have different conclusions on the legal status of managers. The power of company managers is constantly expanding, which is beyond the scope of the authority of agents, and needs to be clarified. Executive power includes internal management and external representation. The law regulates the validity of the representative's act. The internal management power of the manager mainly lies in the authorization of the company, and it is helpful to control the expansion of the manager's power by clarifying the authority of the manager and the director. The company manager's duty system includes the duty to abide by the law, the duty of loyalty and the duty of care. There is a difference between the manager's obligation standard and the director's obligation standard. The manager assumes a higher standard of obligation, his subjective fault is based on general negligence, and the director's fault is based on gross negligence. Business judgment rules provide a basis for us to investigate the performance of managers' obligations. The manager should bear the corresponding legal responsibility if he violates his obligations. The constitutive elements of manager's liability include: (1) the subject is the company manager (2) subjective fault is subjective fault (3) there is a legal causality between the manager's behavior and damage (4) the result of damage. There are some imperfections in the regulation of the legal liability of company manager in our company law. The legislation should strengthen the civil liability of manager to the company and establish the civil liability system of manager to the third party at the same time.
