公司型家族企业治理的法律分析

【摘要】：我国正处在由计划经济向市场经济转型的重要时期,家族企业在获得了长足发展后,已经成为“构建和谐社会”语境下一支重要的经济力量。随着公司法的不断完善,家族企业采用公司这一现代企业形态的越来越多,公司型家族企业日益引起人们的关注。本文从宏观(环境)、中观(企业网络)和微观(单个企业)三个层面,沿着“过去——现在——未来”的思路,对转型期我国公司型家族企业治理的问题进行了比较系统的分析,以期能对其突破现实困境提供某种指引。论文共包括引言、正文和结束语三个部分,其中正文又分为三章。引言部分对研究的意义、方法和创新点进行了介绍。正文第一章首先对家族企业的概念、特征及公司型家族企业的制度优势进行了概述。接着从过程的角度,以近代中国为例分析了公司与家族的融合,并对公司型家族企业的未来发展趋势做出大胆预测。第二章是论文的重点,主要运用法学和经济学的相关知识,分别对两类公司型家族企业(有限公司型和股份公司型)治理的共同困境和各自的独特问题进行了分析。第三章针对公司型家族企业治理的困境提出了相应的对策。结束语部分对公司型家族企业的理论研究进行了展望,并指出本课题有待进一步研究的内容。
[Abstract]:Our country is in the important period of transition from planned economy to market economy. After getting great development, family business has become an important economic force in the context of "building a harmonious society". With the continuous improvement of company law, more and more family enterprises adopt this modern enterprise form. From the macro (environment), meso (enterprise network) and micro (individual enterprise) levels, this paper follows the idea of "past-present-future". This paper makes a systematic analysis on the problems of corporate family business governance in China during the transition period in order to provide some guidance to break through the practical predicament. The thesis includes three parts: introduction, text and conclusion, in which the text is divided into three chapters. The introduction introduces the significance, method and innovation of the research. The first chapter summarizes the concept, characteristics and institutional advantages of the family firm. Then, from the point of view of process, taking modern China as an example, this paper analyzes the fusion of company and family, and makes a bold prediction of the future development trend of company-type family business. The second chapter is the focus of the paper, mainly using the relevant knowledge of law and economics to analyze the common dilemma and their unique problems of the governance of the two types of family enterprises (limited company and joint-stock company) respectively. The third chapter puts forward the corresponding countermeasures to the predicament of corporate family business governance. In the conclusion part, the author looks forward to the theoretical research of the firm-type family firm and points out that this subject needs further research.
