试析经理的法律地位

【摘要】:在经历了股东会中心主义和董事会中心主义之后,现代公司治理中已经出现了经理中心主义的倾向。随着经理在公司治理中作用的日益突出,其手中的权力也不断扩张,甚至反过来控制公司,侵害到股东和公司的利益。在我国公司法中,经理属于董事会聘任的公司高级管理人员,本应接受董事会的领导,在董事会授权范围内行使权力。然而立法又同时将经理与董事会并列于公司组织机构中,并赋予其法定职权,使得经理成为了公司的法定机关,拥有了和董事会抗衡的权力。实践中“经理问题”的层出不穷,归根结底还是对经理法律地位的认识有偏差,因此,明确经理合理的法律地位,对完善公司治理结构,充分发挥经理的作用具有重要意义。 本文从法律属性、职权职责以及法律关系三个角度,对经理在公司中的法律地位问题进行了初步的研究,除了导言和结束语之外,正文分为三个部分。 第一章从经理的法律属性出发,在明确经理的法律含义之后,通过对关于经理法律地位的四种学说,即雇员说、代理人说、机关说和代表人说的比较分析,总结出经理作为公司雇员,其合理的法律地位应该是公司代理人。 第二章在前文的基础上,进一步阐述了经理的职权和职责,因为经理的法律地位决定并体现于其的职权和职责。 第三章从法律关系角度,阐述了经理与股东、董事会、董事长以及监事会之间的关系,并就公司内部相关主体对经理的约束机制提出了自己的观点和建议。
[Abstract]:After going through shareholder meeting centralism and board centralism, there has been a tendency of manager centralism in modern corporate governance. With the increasingly prominent role of managers in corporate governance, the power in their hands is also expanding, even controlling the company in turn, harming the interests of shareholders and companies. In the company law of our country, the manager belongs to the senior manager of the board of directors, who should accept the leadership of the board of directors and exercise the power within the authority of the board of directors. However, the legislation juxtaposes the manager and the board of directors in the organization of the company, and endows the manager with the statutory authority, which makes the manager become the statutory organ of the company and has the power to contend with the board of directors. In practice, "manager problems" emerge in endlessly, in the final analysis, there is still a deviation in the understanding of the legal status of managers. Therefore, it is of great significance to clarify the reasonable legal status of managers to perfect the corporate governance structure and give full play to the role of managers. This paper makes a preliminary study on the legal status of managers in the company from the perspectives of legal attributes, functions and responsibilities, and legal relations. In addition to the introduction and concluding remarks, the text is divided into three parts. The first chapter starts from the legal attribute of the manager, after clarifying the legal meaning of the manager, through the comparative analysis of the four theories about the legal status of the manager, that is, the employee theory, the agent theory, the agency theory and the representative theory. Summing up the manager as an employee of the company, its reasonable legal status should be the agent of the company. The second chapter elaborates the functions and responsibilities of the manager on the basis of the above, because the legal status of the manager determines and embodies his authority and responsibility. The third chapter expounds the relationship between manager and shareholders, board of directors, chairman of board of directors and board of supervisors from the angle of legal relationship, and puts forward his own views and suggestions on the binding mechanism of relevant subjects to managers.
