我国股东知情权制度的缺陷及其完善对策

【摘要】： 在现代公司管理制度中,奉行法人所有权、经营权与股东权相分离的原则,大多数股东并不直接参与公司的经营管理,董事会和经理层掌握着公司的日常经营和决策,这往往会导致股东与公司间信息的不对称,从而危及股东利益的实现。赋予股东知情权是克服信息不对称的有力措施,股东知情权是多项股东权利的集合,主要包含查阅权、质询权和检查人选任请求权三项权利,其目的是为保障股东对公司有关信息的知晓,以实现对各项股东权利的预防性保护,此项制度具有重要的法律价值和现实意义。然而,由于我国公司治理机制的失灵和相关法律制度的缺失,导致我国股东知情权长期得不到应有的保护,因此引发的股东知情纠纷不断涌现,如何在我国建立较为完善的股东知情权制度,如何为股东知情权提供切实的保障等问题,成为了学界和实务界共同关注的焦点。尽管我国2005年修订的《公司法》对股东知情权的保护已取得长足进步,但仍存在不足之处,例如：股东查阅权范围过窄、质询权的范围和具体程序的适用没有详细规定、检查人选任请求权更是我国立法上的空白。通过分析股东知情权的内容和法律属性,同时结合对股东知情权典型案例的剖析,我国股东知情权制度在立法、司法和执法方面的缺陷便露出其“冰山一角”。针对当前股东知情制度的不足之处,我国可借鉴国外先进的立法,主要从以下几方面进行完善：扩大股东查阅权范围,明确股东查阅权的行使要件；确定股东质询权的权利主体和质询范围,确立股东质询权的义务主体及说明程度；建立检查人选任请求权制度。通过这些完善措施,我国股东知情权制度能更加合理与健全。
[Abstract]:In the modern company management system, the principle of the separation of the ownership of legal person, the right of management and the right of shareholders is followed. Most shareholders do not directly participate in the management of the company, and the board of directors and managers control the daily operation and decision of the company. This often leads to asymmetric information between shareholders and companies, thus endangering the realization of shareholders' interests. Giving shareholders the right to know is a powerful measure to overcome the asymmetry of information. Shareholders' right to know is a collection of many shareholders' rights, which mainly include three rights: the right to consult, the right to inquire and the right to choose and claim for appointment of inspectors. The purpose of the system is to protect the shareholders' knowledge of the company's relevant information and to realize the preventive protection of the shareholders' rights. This system has important legal value and practical significance. However, due to the failure of corporate governance mechanism and the lack of relevant legal system, the shareholders' right to know in our country has not been protected for a long time. How to establish a more perfect system of shareholders' right to know and how to provide practical protection for shareholders' right to know have become the focus of the academic and practical circles. Although great progress has been made in the protection of shareholders' right to know in the revised Company Law in 2005, there are still some shortcomings, such as the narrow scope of shareholders' right to inspect, the scope of inquiry rights and the application of specific procedures. The right to choose and apply for appointment of inspectors is a blank in our legislation. By analyzing the contents and legal attributes of shareholders' right to know, and combining with the analysis of typical cases of shareholders' right to know, the defects of the system of shareholders' right to know in legislation, judicature and law enforcement show its "tip of iceberg". In view of the deficiency of the current shareholders' informed system, our country can learn from foreign advanced legislation, mainly from the following aspects: expand the scope of shareholders' inspection rights, clear the exercise of shareholders' inspection rights; To determine the main body and scope of the shareholders' right to inquire, to establish the subject of obligation and the degree of explanation of the right to inquire, and to establish the system of the right to choose and claim for appointment of examiners. Through these consummation measures, our country stockholder's right to know system can be more reasonable and perfect.
