【摘要】： 主权财富基金,是一国政府以不可再生资源赢利或外汇储备赢余等,通过设立专门机构进行经营管理的特殊基金,是具有政府宏观调控性质、以国家发展为目标、承载国民福利需求、进行商业化市场化运作、对超额外汇储备进行积极稳健投资的特殊金融形态。主权财富基金的主权性、主体性、市场性、国民性、国际性等五大特性构造了主权财富基金法律问题研究体系,即研究其权利构造、治理结构、国际规制等涉及的法律问题。主权财富基金从设立到运营的全过程中,涉及了国家、国民、运营主体、接受投资国等权利或权力主体。国家对主权财富基金享有股东权和宏观调控权,国民享有利益分享权、知情权和监管权。在国外,虽然政府是主权财富基金的全部出资人,但是主权财富基金本身却是一个私人类型的公司,公司治理结构与私人公司相似。我国设立了专门运营主权财富基金的中投公司,其目前的治理结构是一个典型的国有独资公司治理结构。这是基于中国的国情所建立起来的一种比较合理的结构,能够保证主权财富基金的良好运营。然而,这种治理结构也存在一定的隐患。主权财富基金的兴起的庞大规模、政治强国的加入,国际大宗金融业务的参与,使主权财富基金成为国际热议焦点。投资接受国对主权财富基金质疑,投资设立国则质疑这种质疑,在这种国际分歧之下,相关的国际组织出台了相应的国际协议和准则作为协调。同时一部分投资接收国也修改其外资进入法规对主权财富基金进行了规制。面对国际监管立法的相继出台,中国主权财富基金亟需应对对策,从国内角度来看,我国主权财富基金立法仍存在许多缺失亟待研究补正。
[Abstract]:Sovereign wealth fund is a special fund which is operated and managed by a government with non-renewable resources or foreign exchange reserve surplus. It has the nature of government macro-control. China has set up CIC, which operates sovereign wealth funds. Its current governance structure is a typical state-owned company governance structure, which is based on China's national conditions established a more reasonable structure, can ensure the good operation of sovereign wealth funds. To make sovereign wealth funds the focus of international debate. Investment recipients question sovereign wealth funds, while investment founding countries question such doubts, in the context of such international differences. Relevant international organizations have issued corresponding international agreements and guidelines as coordination. At the same time, some receiving countries have also revised their foreign capital entry regulations to regulate sovereign wealth funds.
