“后危机”时代我国对外投资立法的若干问题与完善研究

【摘要】：当前我国正加大力度实施“走出去”战略,为保证该战略的顺利实施,必须有相应的法律法规予以支持,但是我国对外投资立法存在严重的不足,例如我国尚未颁布对外投资法基本法,仅有商务部于2009年发布的《境外投资管理办法》,它是我国当前实施“走出去”战略的主要法律依据。该办法规定十分原则,对我国企业走出去后可能遇到的相关法律问题并未涉及。因而,如何对海外投资行为施行有效的法律规制和保障是摆在我们面前的一大问题,本文将从以下几方面着手就我国海外投资制度的构建进行阐述: 首先,本文从“走出去”战略的基本问题着手,介绍“走出去”战略的涵义及其形成过程,进而分析其与我国民族经济存在何种关系。其次,在当前金融危机的背景下,分析我国海外投资所面临的一些主要法律问题,包括投资准入问题、投资待遇问题、投资保护问题、环境标准问题以及劳工权利问题等。并且结合国际上海外投资立法的发展状况,进一步分析我国海外投资立法的现状,进而发现我国海外投资立法的不足之处。最后,结合我国当前的实际情况,并且借鉴美国、日本等国的先进立法经验,就海外投资立法提出相关建议,具体涉及海外投资保险立法、投资前行为规范立法、投资后监督立法、投资税收优惠立法、双边和多边投资立法、投资与环境立法、劳工立法以及投资中的反不正当竞争立法等。
[Abstract]:For example, China has not yet promulgated the basic Law of Foreign Investment Law, but only the Management measures for overseas Investment issued by the Ministry of Commerce in 2009, which is the main legal basis for the implementation of the "going out" strategy in China at present. This method stipulates very principle, and does not involve the related legal problems that our enterprises may encounter after going out. Therefore, how to carry out effective legal regulation and protection of overseas investment is a big problem in front of us. This paper will elaborate the construction of our country's overseas investment system from the following aspects: first, This paper begins with the basic problems of "going out" strategy, introduces the meaning and forming process of "going out" strategy, and then analyzes the relationship between it and our national economy. Secondly, under the background of the current financial crisis, this paper analyzes some major legal problems faced by China's overseas investment, including investment access, investment treatment, investment protection, environmental standards and labor rights. Combined with the development of foreign investment legislation in Shanghai, this paper further analyzes the current situation of overseas investment legislation in China, and finds out the shortcomings of overseas investment legislation in China. Finally, combining the actual situation of our country, and drawing lessons from the advanced legislative experience of the United States, Japan and other countries, the author puts forward some relevant suggestions on the overseas investment legislation, including the overseas investment insurance legislation, the pre-investment behavior standard legislation, and so on. Post-investment supervision legislation, investment tax preferential legislation, bilateral and multilateral investment legislation, investment and environment legislation, labor legislation and anti-unfair competition in investment legislation.
