中企海外并购的劳工法制风险及防范

【摘要】:受企业内在发展需求及宏观环境驱动,中国企业海外并购规模迅速扩大。2016年中国企业海外并购交易总金额已经超过2340亿美元,为2015年的三倍。收购标的从德国工业机器人制造商、芬兰手机游戏开发商、飞机租赁商,到英国的人血血浆产品生产商和意大利的国际米兰足球俱乐部。中企海外并购面临诸多风险。一些进行海外并购的企业往往着眼于行业、经济、政治等风险,而忽视了国外极其严重的劳工法制,因而付出了巨大代价。以我国企业进行海外并购中容易疏忽、但影响巨大的工会法、劳动合同法、雇佣法及薪酬福利法为研究核心,从中企海外并购的劳工法制风险的内涵与外延的细致梳理着手,结合上汽集团并购韩国双龙汽车、TCL欧洲并购重组和吉利汽车并购沃尔沃汽车三个典型案例,实证剖析论述我国企业海外并购中遭遇的工会法、劳动合同法、雇佣法及薪酬福利法等领域的劳工法制风险;通过对相关法律的国际考察,分析比较不同国家劳工相关法制的利弊得失,据此系统提出我国企业在海外并购中应对劳工法制风险的具体策略,为我国海外并购企业提供些许参考。
[Abstract]:Driven by the internal development needs of enterprises and the macro environment, the scale of overseas mergers and acquisitions of Chinese enterprises has expanded rapidly. In 2016, the total amount of overseas M & A transactions of Chinese enterprises has exceeded US $234 billion. Three times as many as in 2015. The acquisition was made from German industrial robotics maker, Finnish mobile game developer, aircraft rental company, Human blood and plasma product producers in the UK and Italy's Inter Milan Football Club. Overseas mergers and acquisitions by Chinese enterprises face many risks. Some companies that make overseas mergers and acquisitions tend to focus on risks such as industry, economy, politics, etc. Ignoring the extremely serious foreign labor law, it has paid a huge price. The core of the study is the trade union law, the labor contract law, the employment law and the salary and welfare law, which are easy to neglect in the overseas mergers and acquisitions of Chinese enterprises, but have a great impact on the labor contract law, the employment law and the compensation and welfare law. Starting from the intension and extension of labor legal risks in overseas mergers and acquisitions between Chinese and Chinese enterprises, combining the three typical cases of SAIC Group's merger and acquisition of Korea's Ssangyong Automobile TCL Europe and Geely Automobile's merger and acquisition of Volvo cars, The empirical analysis discusses the labor legal risks in the fields of trade union law, labor contract law, employment law and salary and welfare law encountered by Chinese enterprises in overseas mergers and acquisitions. This paper analyzes and compares the advantages and disadvantages of labor related legal system in different countries, and then puts forward some specific strategies for Chinese enterprises to deal with the risks of labor legal system in overseas mergers and acquisitions, and provides some references for overseas M & A enterprises in China.
