现代合同法精神的经济分析

【摘要】：现代合同法的精神体现了效率与对合作剩余分配的相对公平的追求。本文讨论了合同的经济价值和合同法提高效率的主要手段;重点讨论了自由原则的效率性和公平性,指出格式合同对接受者的侵犯在于合作剩余分配的公平上,没有讨价还价的自由就没有真正的合同;诚实信用原则作为帝王条款是为了提高现代社会信息严重不对称和资产专用性时的效率和合作剩余分配的公平。
[Abstract]:The spirit of modern contract law embodies the relatively fair pursuit of efficiency and cooperative surplus distribution. This paper discusses the economic value of the contract and the main means of improving the efficiency of the contract law, focuses on the efficiency and fairness of the principle of freedom, and points out that the infringement of the format contract on the recipient lies in the fairness of the distribution of the cooperative surplus, and there is no real contract without the freedom of bargaining. As an imperial clause, the principle of good faith is to improve the efficiency of information asymmetry and asset specificity in modern society and the fairness of cooperative surplus distribution.
