上海自贸区离岸金融法律监管问题研究

【摘要】：自中国(上海)自由贸易试验区(后简称“上海自贸区”)设立以来,就把开展资本项目可兑换、人民币跨境使用等金融创新作为其重要任务,因此发展离岸金融市场也就成为区内金融改革的应有之义。纵观上海自贸区离岸金融三年多以来的发展,虽然取得了一定成果,但发展进程低于预期。究其原因,缺乏明确的法律制度指引和法律监管保障是阻滞其发展不可忽略的因素。一方面,上海自贸区离岸金融监管的法律体系不完善,具体表现为“基本法”立法滞后,下位法和配套法规不到位,立法效力普遍较低,法律体系扁平化。另一方面,区内离岸金融的法律监管具体制度也不健全,具体表现为监管模式不明确,监管主体的职责划分不清,在准入监管、过程监管、退出监管等方面的监管制度不完备,在监管的国际合作方面力度不够。通过对东京、纳闽、伦敦这三个典型类型的离岸金融中心进行考察和比较,结合上海自贸区离岸金融市场的实际情况,总结出上海自贸区应当通过建立完善的离岸金融监管法律体系,制定健全的法律监管制度,加强监管的国际合作几个方面来提高其离岸金融法律监管水平,从而促进离岸金融市场的发展,为其他自贸区乃至全国提供可复制的金融创新经验。
[Abstract]:Since the establishment of the China (Shanghai) Free Trade pilot area (hereinafter referred to as the "Shanghai Free Trade Zone"), financial innovation such as capital account convertibility and cross-border use of renminbi has been an important task. Therefore, the development of offshore financial markets has become an integral part of the financial reform in the region. Looking at the development of offshore finance in the Shanghai Free Trade Zone for more than three years, although it has achieved certain results, the development process is lower than expected. The lack of clear legal system guidance and legal supervision guarantee are the factors that can not be ignored to block its development. On the one hand, the legal system of offshore financial supervision in Shanghai Free Trade Zone is not perfect, which is manifested by the lag of the basic Law legislation. The inferior law and supporting regulations are not in place, the legislative effect is generally low, and the legal system is flat. On the other hand, the specific system of legal supervision of offshore finance in the region is not perfect, and the specific regulation mode is not clear. The responsibilities of the supervisory bodies are not clearly divided, the regulatory systems in the areas of access supervision, process supervision, withdrawal supervision, and so on are not complete, and the international cooperation in supervision is not strong enough. By investigating and comparing these three typical offshore financial centers in London and combining with the actual situation of offshore financial markets in the Shanghai Free Trade Zone, it is concluded that the Shanghai Free Trade Zone should establish a sound legal system of offshore financial supervision and regulation. In order to promote the development of offshore financial market and provide replicable financial innovation experience for other free trade areas and even for the whole country, we should establish a sound legal supervision system and strengthen international cooperation in supervision to improve the level of offshore financial legal supervision.
