互联网行业反垄断相关市场界定研究

【摘要】:近年来互联网行业迅速发展,其相关市场竞争的范围领域、方式、激烈程度都与传统行业有明显不同。呈现出了双边市场、关注度经济、超越时空、创新竞争等市场竞争特性。我国自实行市场经济以来,为了保护公平自由竞争,防止出现排除、限制竞争行为的发生,在1993年出台了《反不正当竞争法》、2007年出台了《反垄断法》。随后,国务院反垄断委员会又出台了《关于相关市场界定的指南》。可见相关市场界定在反垄断法中的意义非常重要,它常常是反垄断执法的起点和先决条件。针对互联网行业呈现出的市场竞争特性,现有界定相关市场的方法、维度和重点考量因素是否使用,在近年的反垄断执法实践和学界研究中常有争议。本文首先梳理介绍互联网行业市场竞争呈现出的不同于传统行业的几种特性,结合实例对现有相关市场界定方法、维度进行分析。第二对美国互联网行业反垄断情况进行介绍,并分析其界定相关市场的思路、方法和考量的主要因素。第三针对目前相关市场界定的新方法进行介绍,并分析其在互联网行业中使用可能存在的问题。最后对我国“奇虎诉腾讯”案相关市场界定的内容进行分析,并针对我国目前相关市场界定的立法现状,既对2009年出台的《关于相关市场界定的指南》提出完善建议。最终本文认为,首先现有替代性分析法是可以适用于互联网行业相关市场界定的,只是在界定相关市场时需要考虑互联网行业竞争呈现出的几种特性。同时因为互联网行业竞争的复杂性,就具体个案可以不得出清晰明确的相关市场边界。其次假定垄断者测试法目前是不能直接适用于互联网行业相关市场界定的,其变通形式也需要进一步研究才能在实践中运用。最后,因互联网行业竞争的强动态性,在相关市场界定中应单独考虑时间因素的影响。针对我国《关于相关市场界定的指南》,本文建议对《指南》进行修改,明确相关时间市场的概念以及界定思路和方法;明确双边市场特性或平台竞争特性及分析思路;完善相关商品市场、相关地域市场界定是考虑的主要因素;完善假定垄断者测试的适用范围和适用条件。
[Abstract]:In recent years, the Internet industry has developed rapidly, its related market competition scope, the way, the intense degree all has the obvious difference with the traditional industry. Presents the bilateral market, the attention economy, surmounts the time and space, the innovation competition and so on market competition characteristic. Since the implementation of market economy, in order to protect fair and free competition, prevent the occurrence of exclusion and limit the occurrence of competition behavior, China has issued the Anti-unfair Competition Law in 1993 and the Anti-monopoly Law in 2007. Subsequently, the State Council Antimonopoly Commission issued a guide on the definition of relevant markets. It can be seen that the definition of relevant market is very important in antitrust law, which is often the starting point and prerequisite of antitrust law enforcement. In view of the market competition characteristics of the Internet industry, the existing methods, dimensions and key factors of defining the relevant markets are often controversial in the practice of anti-monopoly law enforcement and academic research in recent years. This paper firstly introduces the characteristics of the Internet industry market competition which is different from the traditional industry, and analyzes the existing relevant market definition methods and dimensions. The second part introduces the antitrust situation of American Internet industry, and analyzes the ideas, methods and main factors of its definition of relevant markets. The third part introduces the new method of market definition, and analyzes the possible problems in the use of it in the Internet industry. Finally, this paper analyzes the content of the definition of the relevant market in Qihu v. Tencent case, and puts forward some perfect suggestions on the relevant market definition guide issued in 2009 in view of the current legislative situation of the relevant market definition in our country. Finally, this paper holds that the existing alternative analysis method can be applied to the definition of the relevant market of the Internet industry, but it is necessary to consider several characteristics of the competition in the Internet industry when defining the relevant market. At the same time because of the complexity of the Internet industry competition, specific cases can not be clear and clear market boundaries. Secondly, it is assumed that the monopolist test method can not be directly applied to the definition of the relevant market in the Internet industry at present, and its alternative form also needs further study to be applied in practice. Finally, due to the strong dynamic nature of the Internet industry competition, the influence of time factors should be considered separately in the definition of relevant markets. In view of our country's Guide on the definition of relevant Market, this paper proposes to amend the Guide to clarify the concept of the relevant time market and its defining ideas and methods, to clarify the characteristics of the bilateral market or the competitive characteristics of the platform, and to analyze the characteristics of the relevant time market. Perfecting the relevant commodity market, defining the relevant regional market is the main factor to be considered, and perfecting the applicable scope and the applicable conditions of the hypothetical monopolist test.
