住宅类商品房销售中引入消费者反悔权研究

【摘要】:2013年修订的《中华人民共和国消费者权益保护法》(以下简称《消法》),首次明确规定了消费者享有"反悔权"。它的确立对促进诚信经营,规范交易秩序有着十分重要的意义。但《消法》将反悔权的适用范围仅限定于很少商品的特殊销售方式上。如此一来,反悔权适用的范围就变得十分狭窄。住宅类商品房作为价值相对较大的消费品,在我国市场交易中的地位举足轻重,却没有被纳入"反悔权"的适用范围。在我国,商品房领域能否推行"反悔权"制度,一直备受争议。但以往学者的争论只集中在"商品房领域是否适用反悔权"这个问题上,很少有人对商品房进行分类后再讨论是否适用反悔权的问题。商品房可以根据使用目的的不同,分为两类:一类是基于投资目的的经营性商品房,另一类是住宅类商品房。本文研究的是住宅类商品房领域能否适用反悔权的问题。住宅类商品房涉及到婚姻、养老、户籍、教育、医疗等关乎家庭生存发展的重大问题,是极其特殊又重要的领域,可以作为"特殊交易形态"的例外。本文认同对后悔权的适用范围进行限制,反对没有限度地扩张反悔权的适用范围,但是主张将住宅类商品房纳入"反悔权"的适用范围。本文共分为四个部分:第一部分从商品、消费者的法律特征等角度论证了住宅类商品房购买者属于消费者。第二部分阐述了住宅类商品房领域引入反悔权的依据。从理论依据和现实依据两个方面分析住宅类商品房领域引入反悔权的必要性。第三部分探讨了在住宅类商品房领域推行反悔权可能会存在的诸多问题。比如立法上的障碍、反悔权适用的期限与方式问题、市场投机问题以及如何保障反悔权制度的实施问题。第四部分针对问题提出相关建议包括寻求立法上的突破;设定合理的反悔权期限与书面化行使方式;设置解约赔偿以及制度实施的保障措施。
[Abstract]:The Consumer Rights and interests Protection Law of the people's Republic of China (hereinafter referred to as "Consumer Law"), amended in 2013, explicitly stipulates that consumers enjoy the "right of estoppel" for the first time. Its establishment has very important meaning to promote the good faith management and standardize the order of transaction. However, the law limits the scope of application of estoppel to the special way of sale of few goods. In this way, the scope of application of the right to estoppel becomes very narrow. As a relatively large value of consumer goods, residential commercial housing plays an important role in market transactions in our country, but it is not included in the scope of application of "right of retrogression". In our country, whether or not the field of commercial housing can carry out the system of "reneging right" has been controversial all the time. However, in the past, the debate only focused on whether the right of retrogression should be applied in the field of commercial housing, and few people discussed whether the right of retrogression should be applied after the classification of commercial housing. Commercial housing can be divided into two categories according to the purpose of use: one is commercial housing based on investment purpose, the other is residential commercial housing. This paper studies whether the right of retrogression can be applied in the field of residential commercial housing. The residential commercial housing involves marriage, pension, household registration, education, medical treatment and other important issues related to the survival and development of the family, is an extremely special and important field, can be taken as the "special transaction form" exception. This paper agrees to limit the scope of application of the right of regret, opposes the unlimited expansion of the scope of application of the right of retrogression, but advocates that the commercial housing of housing should be brought into the scope of application of the right of retrogression. This paper is divided into four parts: the first part demonstrates that the buyers of residential housing belong to consumers from the point of view of commodity, consumers' legal characteristics and so on. The second part expounds the basis of introducing the right of retrogression in the field of residential commercial housing. This paper analyzes the necessity of introducing the right of retrogression in the field of commercial housing in terms of theoretical basis and practical basis. The third part discusses a lot of problems that may exist in the field of residential commercial housing. For example, the legislative obstacle, the time limit and the way of applying the right of estoppel, the problem of market speculation and how to guarantee the implementation of the system of the right of estoppel. The fourth part puts forward some suggestions to solve the problem, including seeking a breakthrough in legislation; setting up a reasonable time limit and written exercise of the right of estoppel; setting up the compensation for the termination of the contract and the safeguard measures for the implementation of the system.
