论农业经营主体制度的构建——以《民法总则》为视角

【摘要】：《民法总则》中的自然人、法人和非法人组织等三类民事主体,均可以从事农业经营,从而成为农业经营主体。相比《民法通则》,《民法总则》在农业经营主体制度的构建方面有了很大的进步,尤其体现在明确了农村集体经济组织、农村合作经济组织和村民委员会的民事主体地位,使其得以更好地开展农业经营活动。但是,《民法总则》在农村承包经营户、家庭农场、农村集体经济组织和农村合作经济组织等农业经营主体制度上仍存在较大的缺陷。《民法总则》应当以农户取代农村承包经营户,并将之归入非法人组织;明确家庭农场的民事主体属于新型非法人组织;取消特别法人,将农村集体经济组织和农村合作经济组织按照营利与否,分别归入于营利法人或者非营利法人,并明确农村集体经济组织概念,使之与农村合作经济组织相区别。
[Abstract]:The civil subjects, such as natural persons, legal persons and non-legal persons in the General Provisions of Civil Law, can be engaged in agricultural operation, thus becoming the main body of agricultural operation. Compared with the General Principles of the Civil Law, the General Principles of Civil Law have made great progress in the construction of the main system of the agricultural operation, especially the civil subject status of the rural collective economic organizations, the rural cooperative economic organizations and the villagers' committees. To enable it to better carry out agricultural operations. However, the general rules of the civil law still have great defects in the system of agricultural management, such as the rural contracting and business, the family farm, the rural collective economic organizations and the rural cooperative economic organizations. The general rules of the civil law should replace the rural contractual business with the farmer and put it in the non-legal entity; the civil subject of the explicit family farm is a new type of non-legal entity; the special legal person is cancelled, and the rural collective economic organization and the rural cooperative economic organization shall be used for profit or not. They are included in the profit-of-profit legal person or the non-profit legal person, and the concept of the rural collective economic organization is defined, so that it can be distinguished from the rural cooperative economic organization.
