【摘要】： 提单并入仲裁条款问题大多数情况下是涉外纠纷,由于涉及海商法仲裁法以及国际私法规则等法律规则,产生的法律关系较为复杂。我国海商法对于该问题没有具体的规定,相关立法不完善,实践中司法不统一,当事人的合法权益无法得到有效保障。本文用比较的方法分析英美法以及其他国家和地区相关法律制度,并从我国的实际情况出发,对于我国相关法律制度的完善,和当事人权益的保护提出自己的看法。本文的主体部分用比较分析的方法,结合大量案例全面论述了英国法关于并入条款的审查;并入仲裁条款的特别规定;国际公约和英国成文法对于仲裁并入条款关系;以及判断仲裁并入条款的准据法。英国法体系成熟完善,许多著名案例如Anne field等成为研究这一问题的重要资料。论述了美国成文法和案例法的规定,虽然英美同属一个法系,但是在各自发展过程中各有特色,特别是美国法中对于仲裁并入条款条件的规定具有自身的独特性,美国法对于仲裁并入提单问题的发展过程,体现了法律发展的共同特性,值得我国借鉴。简要分析了各国家和地区关于提单仲裁条款效力的相关规定,这些立法实践中对于仲裁条款的效力限制,以及对仲裁地的强制规定,为完善我国立法,保护国内收货人的利益提供了一条可资借鉴的思路。最后,分析我国现在法律制度的相关规定;对于学术界激烈讨论的并入条款问题通过比较分析,法律条款的分析以及学理的分析提出并入条款的合法性和合理性;分析了判断仲裁并入条款的准据法;针对我国的司法和实践明确我国判断并入仲裁条款的具有可操作性标准完善自己的法律制度提出了自己的看法,并提出当事人保护自己利益的几种可行的做法。
[Abstract]:The incorporation of bill of lading into arbitration clause is a foreign dispute in most cases. Due to the legal rules such as maritime law arbitration law and rules of private international law, the legal relationship is more complicated. There are no specific provisions on this issue in China's maritime law. The relevant legislation is imperfect, the judicature is not unified in practice, and the legitimate rights and interests of the parties can not be effectively safeguarded. This paper analyzes the Anglo-American law and the relevant legal systems of other countries and regions by means of comparative methods, and proceeds from the actual situation of our country. The author puts forward his own views on the perfection of the relevant legal system and the protection of the rights and interests of the parties. The main part of this paper uses the method of comparative analysis, combined with a large number of cases to comprehensively discuss the review of the incorporation clause in English law, the special provisions of the incorporation clause, the relationship between the international convention and the British statute law on the arbitration incorporation clause; The English legal system is mature and perfect, and many famous cases, such as Anne field, become important materials to study this issue. It discusses the provisions of American statute law and case law, although the United States and the United States belong to the same legal system, the United States and the United States belong to the same legal system, and the United States and the United States belong to the same legal system. However, each has its own characteristics in the process of development, especially the provisions of the terms and conditions of arbitration incorporation in American law have their own uniqueness, and the development process of the issue of arbitration incorporation bill of lading in American law embodies the common characteristics of the legal development. This paper briefly analyzes the relevant provisions of various countries and regions on the validity of the arbitration clause of bill of lading, and the limitation of the validity of the arbitration clause in these legislative practices, as well as the compulsory provisions on the place of arbitration, in order to perfect the legislation of our country. Protection of the interests of domestic consignees provides a useful way of thinking. Finally, it analyzes the relevant provisions of the current legal system of our country, and puts forward the legitimacy and rationality of the merger clauses through comparative analysis, analysis of the legal provisions and the theoretical analysis of the merger clauses, which are discussed intensely in the academic circles. This paper analyzes the applicable law of judging arbitration merger clause, defines the operable standard of judging and incorporating arbitration clause according to our country's judicature and practice, and puts forward some views on how to perfect our own legal system. And put forward the parties to protect their own interests of several feasible practices.
