履约免除的法经济学思考

【摘要】：履约免除制度在各国民商法和相关的国际公约、惯例中均有所规定，但其范围、实现方式以及理论基础则有不同。我国法律主要是以不可抗力的形式加以规定。由于经济发展的需要，这一制度正面临着变革。本文从法经济学的角度对这一制度进行了探讨，指出这一制度的理论基础主要是经济风险理论，履约免除的范围应当从风险的客观性上来界定，，履约免除的实现应当以效率、公平为原则。以期对这一制度的发展有所助益
[Abstract]:The system of exemption from performance is provided for in the civil and commercial laws of various countries and in the relevant international conventions and practices, but its scope, The mode of realization and the theoretical basis are different. The law of our country is mainly stipulated in the form of force majeure. Due to the need of economic development, this system is facing changes. This paper discusses this system from the angle of law and economics. It is pointed out that the theoretical basis of this system is mainly the theory of economic risk, the scope of exemption from performance should be defined from the objectivity of risk, and the realization of exemption of performance should be based on the principles of efficiency and fairness, so as to be helpful to the development of this system.
