论我国上市公司独立董事制度的现状与完善

【摘要】：独立董事制度是当前我国民商法学界研究的一个热点问题，研究独立董事制度对于完善我国公司法人治理结构，促进上市公司提高经营业绩，维护中小股东权益具有重要意义。本文试图对中国独立董事制度进行比较系统地研究，以独立董事的概念、独立董事制度的功能为切入点，探讨独立董事制度在中国实践中存在的问题，提出完善中国独立董事制度的对策建议。在占有尽可能丰富资料的基础上，通过横向与纵向的比较，进行从个别到一般的归纳，从一般到具体的演绎，分析我国目前独立懂事制度运行的现状及存在的问题，并结合具体案例就制度的完善提出建议。本文通过比较分析法和例证法，通过研究独立董事制度的基本理论及其理论基础和两大法系的在公司治理上的差距，分析独立董事制度在中国的实行情况以及对未来进行设想，笔者认为独立董事制度本身就是一个需要不断完善和发展的理论，，我们在其研究和分析并运用于中国的实践时，必须要结合中国国情，要具体问题具体分析，只有这样才构建出适合中国的、能发挥其作用的独立董事制度。
[Abstract]:The independent director system is a hot issue in the field of civil and commercial law in our country at present. It is of great significance to study the independent director system to perfect the corporate governance structure of our country, to promote the listed companies to improve their business performance and to safeguard the rights and interests of the minority shareholders.This paper attempts to study the system of independent director in China systematically, taking the concept of independent director and the function of independent director system as the starting point to discuss the problems existing in the practice of independent director system in China.Put forward the countermeasures and suggestions to perfect the independent director system in China.On the basis of possessing as much information as possible, through the horizontal and vertical comparison, from individual to general induction, from general to concrete deduction, this paper analyzes the current situation and existing problems of the independent and sensible system in our country.And combined with specific cases to improve the system put forward suggestions.Through comparative analysis and exemplification, by studying the basic theory and theoretical basis of the independent director system and the gap between the two legal systems in corporate governance, this paper analyzes the implementation of the independent director system in China and the assumption of the future.The author thinks that the independent director system itself is a theory that needs to be perfected and developed constantly. When we study and analyze and apply it to the practice of China, we must combine the situation of China and analyze the specific problems.Only in this way can we construct an independent director system which is suitable for China and can play its role.
