试论我国票据背书制度的现状及完善

【摘要】： 随着我国社会主义市场经济体系的建立,商品和资金的流通不仅打破了原有的地域限制,甚至打破国家之间的界限,使世界成为了统一的市场,作为商法体系中重要组成部分的《票据法》,日益为人们所重视,特别是近年来商品交易、劳务供应、资金调拨以及技术等无形财产的转移日益增多,引起货币收付活动大量增加,几千年来根深蒂固直接用现金支付的习惯正在为大量的票据结算所取代,从而为票据的背书转移提供了广阔的舞台,票据背书中人们寻求方便的惯常做法与《票据法》对背书的规定产生的冲突;我国票据背书的现状与国外票据背书制度的差异;我国票据背书制度与票据业务发展的需要之间的矛盾正日益显现,这些问题的存在构成了对票据“安全、便捷”原则的挑战,严重影响了票据的流通,阻碍了经济的发展。笔者试图从我国票据法背书制度的基本规定与国外主要国家票据背书制度的比较研究,从我国票据背书制度的现状和存在的主要问题,寻求票据背书实务和票据背书法规的平衡点,并对票据背书制度提出自己的构想。本文除前言和结束语外,分为四个部分,约二万二千字。第一部分从我国《票据法》和《票据管理实施办法》、《支付结算办法》三个方面系统阐述了我国票据背书制度的概念、性质、方式、分类、效力和程序,勾勒出了我国票据背书制度的特有的架构。第二部分把我国票据背书制度与英美票据背书制度和《日内瓦统一法》为依据的法、德票据背书制度及港、台地区的票据背书制度的比较研究,追究不同的票据使用的社会基础,试图从不同票据背书制度中找到平衡。第三部分分别阐述了我国目前允许背书的银行转帐汇票、商业承兑汇票、银行承兑汇票、普通支票和转帐支票五种形式的票据背书的现状,并且从票据实务的角度分析了我国票据背书制度中存在的一系列问题。第四部分针对我国票据背书的现状和票据背书制度中存在的问题,结合与发达国家票据背书制度的比较研究,在遵循世界票据背书制度潮流,不分孰优孰劣的基础上,提出完善我国票据背书制度的构想。
[Abstract]:With the establishment of China's socialist market economy system, the circulation of commodities and funds has not only broken the original regional restrictions, but also broken the boundaries between countries, making the world a unified market. As an important part of the commercial law system, the "Bill Law" has been paid more and more attention to, especially the transfer of intangible property, such as commodity trade, labor supply, capital allocation and technology, in recent years. This has led to a significant increase in money receipts and payments, and the deep-rooted practice of direct cash payment for thousands of years is replacing a large number of clearing houses, thus providing a broad stage for the transfer of endorsement of bills. The conflicts between the common practice of people seeking convenience and the stipulation of endorsement in negotiable instrument Law, the difference between the present situation of bill endorsement in our country and the system of bill endorsement in foreign countries, and the difference between the current situation of bill endorsement and the system of bill endorsement in foreign countries; The contradiction between the system of bill endorsement and the need of the development of bill business in China is becoming increasingly apparent. The existence of these problems constitutes a challenge to the principle of "security and convenience", which seriously affects the circulation of bills and hinders the development of economy. The author tries to compare the basic provisions of the endorsement system of our country's negotiable instrument law with that of the foreign countries' bill endorsement system, and from the present situation and existing problems of our country's bill endorsement system. To seek the balance between bill endorsement practice and bill endorsement law, and to put forward its own ideas on bill endorsement system. In addition to the preface and conclusion, this paper is divided into four parts, about 22000 words. The first part systematically expounds the concept, nature, method, classification, validity and procedure of the endorsement system of bills in China from three aspects: the Bill Law, the measures for the Administration of Bills, and the measures for payment and settlement. It outlines the unique framework of the bill endorsement system in China. The second part makes a comparative study of the bill endorsement system of our country, the Anglo-American bill endorsement system and the uniform Law of Geneva, the German bill endorsement system and the bill endorsement system in Hong Kong and Taiwan. To investigate the social basis of different instruments and try to find a balance between different endorsement systems. The third part describes the current situation of endorsements in five forms: bank transfer draft, commercial acceptance bill, bank acceptance bill, ordinary check and transfer check respectively. And from the point of view of bill practice, the paper analyzes a series of problems existing in the bill endorsement system in our country. The fourth part aims at the present situation of bill endorsement in our country and the problems existing in the bill endorsement system, combining with the comparative study of bill endorsement system in developed countries, on the basis of following the trend of the world bill endorsement system, regardless of which is better or worse, The paper puts forward the idea of perfecting the endorsement system of bill in our country.
