建筑工程担保制度研究

【摘要】:建筑业是关乎国计民生的行业,建筑业影响到国家的经济发展和人民群众的安居乐业。目前我国的建筑市场比较混乱,建筑企业参差不齐,违规操作现象时有发生。在企业有违约行为的时候,由于现行《建筑法》、《招标投标法》等法律法规没有相关制度予以有效规制,对风险的化解力度不足,常常造成巨大损失。 建筑工程担保制度是国际上保障建设工程承发包合同履行的一种重要的信用工具。当前中国建筑领域存在的许多问题,如工程质量问题、工程款拖欠问题等,都与承发包合同履行不良有着密切的关系。本文在对建筑工程担保制度进行深入分析、总结的基础上,结合当前中国的国情,提出了在中国建筑业市场上推行工程担保制度的构想。 本文先从法学理论的角度出发,剖析了工程担保制度的具体含义、产生根源,以及它所含盖的几个方面,指出目前在国际上通常实行的主要包括了投标担保、履约担保、业主支付担保等等。接着探索了在民法、经济法中设立工程担保制度的基础,提出了工程担保制度的法理依据:担保制度属于重要的民事制度,担保法是民商法的重要组成部分;同时,建筑工程担保从属于建筑活动,其与建筑工程相关的特别方面,应当由《建筑法》来调整,《建筑法》又属于经济法的范畴。经济法体现了国家的宏观调控,建筑业是关乎国计民生的行业,建筑工程涉及重要的社会资源,同时建筑工程也是受《产品质量法》调整的一类特殊产品。所以,建筑工程担保制度应该是同时受民法和经济法调整的法律制度。但是我国现行立法在此方面明显出现不足,具体体现为现行《建筑法》并没有明确规定工程担保制度,,颁布已十年的《担保法》主要是为了资金的融通和商品的流通而设定的,所以也没有对工程类担保做出明确规定,工程建设的周期长、投资大、风险高等特点也没有反映到担保法中,有关工程担保的规定仅在部门规章中寥寥数笔,各地出台的办法或意见也不能将此项制度还没有上升到法律的高度,没有一部全国性的法律对工程担保做出规范,部门规章和地方性法规之间也缺乏有效衔接。所以必须将工程担保制度上升到法律的高度,才能在全国范围内发挥其重要作用。 目前建筑市场上存在着诸多问题,包括业主、承包商以及政府部门在管理上都存在很多漏洞,导致了许多突出问题。如工程质量和安全形势严
[Abstract]:The construction industry is related to the national economy and people's livelihood, the construction industry affects the national economic development and the people's living and working in peace and contentment. At present, the construction market in China is chaotic, construction enterprises are uneven, illegal operations occur from time to time. When the enterprise has breach of contract, because the current "Building Law", "bidding Law" and other laws and regulations are not effectively regulated, the risk resolution is insufficient, often causing huge losses. Construction engineering guarantee system is an important credit tool to guarantee the implementation of construction project contract. At present, many problems existing in the field of construction in China, such as engineering quality problems, project payment arrears and so on, are closely related to the poor performance of the contract of contract. On the basis of deep analysis and summary of the guarantee system of construction engineering, this paper puts forward the idea of carrying out the guarantee system in the construction market of China on the basis of the current situation of China. From the angle of legal theory, this paper analyzes the concrete meaning, origin and several aspects of the construction guarantee system, and points out that the current international practice mainly includes tender guarantee, performance guarantee, and so on. The owner pays the guarantee and so on. Then it explores the foundation of establishing engineering guarantee system in civil law and economic law, and puts forward the legal basis of engineering guarantee system: the guarantee system belongs to the important civil system, and the guarantee law is an important part of civil and commercial law; at the same time, The guarantee of construction works is subordinate to construction activities, and its special aspects related to construction engineering should be adjusted by "Building Law", which belongs to the category of Economic Law. The economic law embodies the national macro-control. The construction industry is an industry related to the national economy and the people's livelihood. The construction engineering involves important social resources. At the same time, the construction engineering is also a kind of special products adjusted by the Product quality Law. Therefore, the construction engineering guarantee system should be adjusted by both civil law and economic law. However, the current legislation of our country is obviously inadequate in this respect, which is embodied in the fact that the current Building Law has not clearly stipulated the project guarantee system, and the "guarantee Law", which has been promulgated for ten years, is mainly set up for the purpose of financing funds and circulation of commodities. Therefore, there is no clear regulation on the engineering guarantee. The characteristics of the project construction, such as long period, large investment and high risk, have not been reflected in the guarantee law. The regulations on the project guarantee are only a few in the departmental regulations. The system has not been raised to the level of law, there is not a national law to regulate the project guarantee, and there is no effective link between the department regulations and the local laws and regulations. Therefore, the project guarantee system must be raised to the level of law, in order to play an important role in the whole country. At present, there are many problems in the construction market, including many loopholes in the management of the owners, contractors and government departments, which lead to many outstanding problems.
