《鹿特丹规则》单证托运人权利义务研究

【摘要】: 《鹿特丹规则》创设单证托运人,试图为交付货物的,尤其是FOB价格术语下的卖方,提供法律上的保障,以解决以往国际公约因规定不明而造成的冲突与争议。通过分析单证托运人的定义、权利、义务和责任,探讨《鹿特丹规则》设置单证托运人的合理性,以及单证托运人的实践可行性,为我国《海商法》的修改提供建议。运用历史研究、比较分析以及体系研究等方法,得出以下结论:(1)《鹿特丹规则》对单证托运人的创设较为合理,要成为单证托运人需满足如下三个条件:第一,单证托运人不是与承运人订立运输合同的人;第二,单证托运人是在运输单证或电子运输记录托运人一栏中被具名为“托运人”的人;第三,单证托运人同意此种记载;(2)单证托运人享有取得单证的权利、控制权以及提起诉讼等主要权利;(3)单证托运人以(推定)过错责任为原则,以严格责任为例外,负有交付运输、危险货物说明和提供补充信息、指示及文件等主要义务;(4)我国《海商法》在修改时应引入单证托运人,但对单证托运人权利、义务和责任的设置应充分考虑我国法律及航运现状,符合我国利益。
[Abstract]:The Rotterdam rules create documentary shippers who attempt to provide legal safeguards for delivery of goods, especially for sellers under FOB terms, in order to resolve conflicts and disputes arising from unclear provisions in previous international conventions. By analyzing the definition, rights, obligations and responsibilities of the documentary shipper, this paper probes into the reasonableness of setting up the documentary shipper in the Rotterdam rules, and the practical feasibility of the documentary shipper, and provides some suggestions for the revision of the Maritime Law of China. By using the methods of historical research, comparative analysis and system research, the following conclusions are drawn: (1) the establishment of the document shipper in Rotterdam rules is more reasonable, and the following three conditions must be satisfied to become a document shipper: first, The documentary shipper is not a person who has entered into a contract of carriage with the carrier; second, the documentary shipper is a person named "shipper" in the column shipper of the transport document or electronic transport record; and third, the documentary shipper agrees to such a record; (2) the documentary shipper has the main rights of obtaining the document, the right of control and the filing of an action; (3) the documentary shipper is (presumed) liable for fault, with the exception of strict liability, and has the obligation to deliver for carriage, Main obligations such as description of dangerous goods and the provision of supplementary information, instructions and documents; (4) the amendment of our Maritime Code shall introduce the documentary shipper, but shall have the right to the documentary shipper, The establishment of obligation and responsibility should fully consider the present situation of our country's law and shipping, which is in our country's interest.
