租约仲裁条款并入提单的有效性问题研究

【摘要】: 租约提单是根据租约签发的提单,通常载明一条并入条款,,援引租船合同的条款,以期将租约的内容适用于提单。通过并入条款,租约提单成为联系提单与租约的纽带,将性质不同的租约与提单合并在一起,并将租约提单当事人与租约当事人联系起来,且往往意图将租约仲裁条款并入。 仲裁条款本身以意思自治为基石,且具有独立性。租约提单的并入条款本身属于格式条款,它能否将租约仲裁条款并入提单;如能并入,并入的租约仲裁条款是否能够构成租约提单当事人之间解决争议的仲裁协议,并对相应的租约提单当事人产生约束力?有关仲裁的1958年《纽约公约》、1985年《国际商事仲裁示范法》以及调整提单法律关系的《海牙规则》、《海牙-维斯比规则》、《汉堡规则》等国际公约都没有明确规定,各国的立法和司法实践亦各有差异,由此产生诸多争议。 本文拟依照合同法、仲裁法、海商法等基本原理,比较相关的各国立法以及国际公约,结合租约提单并入租约仲裁条款的特点,以仲裁条款的独立性、自治性为基础,通过契约成立、生效的一般原理,研究租约仲裁条款并入提单能否成立仲裁协议的一般要件及其生效要件,进而分析其对不同提单当事人的有效性等问题,得出自己的结论,提出自己的见解或建议,以期对相关的海上货物运输、仲裁与司法实践有所裨益。
[Abstract]:A charter bill of lading is a bill of lading issued under a charter, which usually contains an amalgamation clause, invoking the terms of the charter party in order to apply the contents of the lease to the bill of lading. Through the incorporation clause, the lease bill of lading becomes the link between the bill of lading and the lease agreement, the lease agreement and the bill of lading of different nature are combined together, and the parties to the lease bill of lading are connected with the parties to the lease, and they often intend to merge the arbitration clause of the lease. The arbitration clause itself is based on autonomy of will and has independence. The incorporation clause of the charter bill of lading itself is a formal clause, and whether it can incorporate the lease arbitration clause into the bill of lading; if so, whether the agreement on arbitration between the parties to the lease bill of lading can constitute an arbitration agreement for the settlement of disputes between the parties to the lease bill of lading, And binding on the parties to the relevant charter bill of lading? The 1958 New York Convention on Arbitration, the 1985 Model Law on International Commercial Arbitration and the Hague rules governing the legal relationship of Bills of Lading, the Hague-Visby rules and the Hamburg rules are not expressly provided for, Different countries have different legislation and judicial practice, resulting in many disputes. In accordance with the basic principles of contract law, arbitration law, maritime law and other basic principles, this paper compares the relevant national legislation and international conventions, and combines the characteristics of charter bills of lading incorporated into lease arbitration clauses, based on the independence and autonomy of arbitration clauses. Based on the general principles of contract formation and validity, this paper studies the general elements and the effective requirements of whether the lease arbitration clause can be incorporated into the bill of lading, and then analyzes its validity to the parties to different bills of lading, and draws its own conclusion. The author puts forward his own opinions or suggestions in order to benefit the relevant maritime cargo transportation, arbitration and judicial practice.
