民法典背景下法律行为制度在商事行为中的除外适用

【摘要】：法律行为制度对商事行为制度具有基础性指导作用,但商事行为并不是法律行为的下位概念,其有着较强的特殊性与独立性。正是基于商事行为的特殊性与独立性,法律行为制度在调整某些商事行为时存在缺陷。就目前而言,决议行为、企业自主经营行为、票据行为等商事行为中,不能完全适用法律行为制度,存在除外适用的必要性。在民商合一的民法典背景下,应当在民法总则法律行为制度中规定商事行为制度,并规定对于法律行为制度的除外适用规则。
[Abstract]:The legal act system has the basic guiding function to the commercial act system, but the commercial act is not the inferior concept of the legal act, it has the strong particularity and the independence. It is on the basis of the particularity and independence of commercial acts that the system of legal acts has defects in adjusting some commercial acts. At present, the system of legal acts cannot be fully applied in the commercial acts, such as decision-making, enterprises' self-management, bills, etc., and there is a necessity to apply them except for them. Under the background of the combination of civil and commercial affairs, the system of commercial acts should be stipulated in the system of legal acts of general provisions of civil law, and the rules shall be applied to the system of legal acts except for the system of legal acts.
