业主共益权间接诉讼研究

【摘要】:目前我国对于业主共益权的救济方式只限于直接诉讼,即当物业小区中全体业主的共益权遭到侵害时,由代表全体业主的业主大会、业主委员会或物业公司向人民法院提起民事诉讼,请求加害人做出相应的赔偿。这种救济方式属于《民事诉讼法》中规定的常规诉讼模式,但是当业主代表机构内部人员出现侵害全体业主的行为时,或有人侵害全体业主的共益权但物业小区内部救济机构不作为时,全体业主的共益权就得不到应有的保护。因此,建立业主共益权间接诉讼对于维护业主共益权具有十分重要的作用。通过观察《公司法》中股东派生诉讼制度,我们发现此种救济制度与业主共益权间接诉讼制度十分类似,为业主共益权间接诉讼制度的构建提供了借鉴作用,但是此两者又有着很多诸如原告资格、置业时间、所占比例等具体问题的不同之处,因此,在构建制度时应当加以区分。值得注意的是,在国外公司法理论中,为了鼓励股东提起派生诉讼,有学者提出诉讼费用补偿请求权制度,这点是应当得到支持的。在业主共益权间接诉讼制度中,为了鼓励业主维护集体利益的行为,应当由获得利益的集体业主对原告的诉讼费用进行承担,以此将物业小区的环境引导到良性循环发展的道路上。
[Abstract]:At present, the remedy for the owners' common interests in our country is limited to direct litigation, that is, when the common interests of all the owners in the real estate district are infringed, the owners' Congress, which represents all the owners, Owners' committee or property company filed a civil action with the people's court, asking the offender to make corresponding compensation. This kind of relief means belongs to the normal litigation mode stipulated in the Civil procedure Law, but when the internal personnel of the representative office of the owner act against all the owners, Or when someone infringes on the co-beneficial right of all the owners but the relief organizations in the property district do not act, the co-beneficial rights of all the owners can not be protected properly. Therefore, it is very important to establish indirect litigation of owner's right of common interest for the maintenance of owner's right of common interest. By observing the shareholder derivative litigation system in Company Law, we find that this kind of relief system is very similar to the indirect litigation system of owner's right of common interest, which provides a reference for the construction of indirect litigation system of owner's right of common interest. However, there are many differences between them, such as the plaintiff's qualification, the time of purchase, the proportion of the property, and so on, so we should distinguish between them when constructing the system. It is worth noting that in foreign company law theory, in order to encourage shareholders to initiate derivative action, some scholars put forward the system of litigation cost compensation claim, which should be supported. In the indirect litigation system of owners' common interests, in order to encourage the owners to defend the collective interests, the collective owners should bear the litigation expenses of the plaintiffs. In this way, the environment of the property district to lead to a virtuous cycle of development on the road.
