基于系统管理的并购企业整合模型探索

【摘要】：在经济全球化和中国经济转型发展的背景下,并购日益成为中国企业快速发展的重要选择。文章以我国并购市场发展背景为出发点,从系统管理视角出发,将并购整合视为一项系统工程,以整合要素体系之间的联系及整合企业与供应链上下游企业的关系为研究重点,总结了企业并购整合的基本原则,剖析了企业战略、人力资源、组织与管理、文化整合等核心要素体系之间的逻辑联系,其次对企业外部整合—供应链整合进行分析,最后综合内外部整合因素构建出基于系统管理视角的并购整合层次框架。
[Abstract]:Under the background of economic globalization and China's economic transformation, M & A has become an important choice for the rapid development of Chinese enterprises. Based on the background of the development of M & A market in China, this paper regards M & A integration as a system engineering from the perspective of system management, and focuses on the relationship between the integration elements system and the relationship between the integrated enterprises and the upstream and downstream enterprises in the supply chain. This paper summarizes the basic principles of enterprise merger and acquisition integration, analyzes the logical relationship between the core elements system, such as enterprise strategy, human resources, organization and management, and cultural integration, then analyzes the external integration of enterprises-supply chain integration. Finally, a hierarchical framework of M & A integration based on system management is constructed by synthesizing internal and external integration factors.
