经济民主视野下我国上市公司治理的完善——从国美电器控制权争夺案切入

【摘要】：经济民主是经济领域中广泛参与的利益组织形式,遵从少数服从多数原则,同时保护少数的利益,通过合作保障经济平等、自由,促进经济有序增长。市场经济的本质要求上市公司治理遵循经济民主,经济民主体现在上市公司治理制度设计中并可以有效促进上市公司治理优化。以国美电器控制权争夺案反思我国上市公司治理,可发现种种不足。从微观经济民主层面,应以利益相关人理论为基础,改善和健全上市公司内部治理;从中观经济民主层面,应以平等为理念,推动市场参与者之间实现平等参与;从宏观经济民主层面,应以自由、合作为理念,政府、社会与上市公司治理的互动。
[Abstract]:Economic democracy is a form of interest organization with extensive participation in the economic field. It obeys the principle of minority servitude from majority, at the same time protects the interests of minorities, and guarantees economic equality and freedom through cooperation. Promoting orderly economic growth. The essence of market economy requires listed companies to follow economic democracy in corporate governance. Economic democracy is embodied in the design of listed company governance system and can effectively promote the optimization of listed company governance. From the level of microeconomic democracy, we should improve and perfect the internal governance of listed companies on the basis of stakeholder theory. From the view of meso-economic democracy, we should take equality as the concept and promote equal participation among market participants. From the macroscopic economic democracy level, should take the freedom, the cooperation as the idea, the government, the society and the listed company governance interaction.
