【摘要】：随着我国经济的快速稳定的发展，出现了大量的钢铁企业，但这些企业大大小小参差不齐，生产能力有一定悬殊，，再加上我国钢铁行业粗放式发展，导致长期积累的矛盾日益突出，包括产业布局不合理，产业集中度较低，专业技术生产力较低，资源浪费严重，缺乏自主创新能力等，从而影响我国钢铁行业在国际市场上的竞争力，在国际铁矿石市场上没有议价能力，原材料进口成本增加，进一步使我国钢铁行业的利润率不断降低，从而阻碍我国钢铁行业的正常发展。在这样的情况下，我国钢铁行业迫切的需要并购重组来扩大企业规模，改善产业布局，提高专业生产能力，改进生产技术设备，来应对国际市场，提高国际竞争力，创造更广阔的发展空间。本文以河北钢铁集团为例，从理论入手，首先简要的介绍了并购重组相关理论，分析了我国钢铁行业并购重组现状，其次以理论为基础，系统的分析了河北钢铁集团并购重组的历程、目的、重组模式、整合措施、重组效果等，总结其并购重组过程中所体现的优势，再结合我国钢铁行业并购重组现状以及并购重组相关理论，为我国钢铁行业并购重组提出合理性建议。具体内容如下所示：第一章：对并购重组的相关理论基础进行了概述，包括并购重组含义分类基本环节、并购重组模式、并购重组效应、并购重组整合等内容。第二章：深入的分析了我国钢铁行业发展现状及并购重组现状，并指出了我国钢铁行业要想做大做强的必经之路。第三章：具体分析河北钢铁集团并购重组之路，探索其并购重组模式，分析其并购重组整合措施，评价其并购重组效果，得出其并购重组成功的结论。第四章：通过对河北钢铁集团并购重组的案例研究，对我国钢铁行业的并购重组在重组方式和重组整合措施方面得到一定的启示。
[Abstract]:With the rapid and stable development of our country's economy, a large number of iron and steel enterprises have emerged. However, these enterprises, large and small, vary in size and size, and their production capacity has a certain degree of disparity, in addition to the extensive development of the steel industry in our country.The contradictions that lead to long-term accumulation are increasingly prominent, including unreasonable industrial layout, low industrial concentration, low professional and technical productivity, serious waste of resources, lack of independent innovation ability, etc.As a result, the competitiveness of China's iron and steel industry in the international market is affected. There is no bargaining power in the international iron ore market, and the import cost of raw materials increases, which further reduces the profit margin of China's iron and steel industry.Thus hindering the normal development of China's iron and steel industry.Under such circumstances, China's steel industry urgently needs mergers and acquisitions and reorganization to expand the scale of enterprises, improve industrial layout, enhance professional production capacity, and improve production technology and equipment to cope with the international market and enhance international competitiveness.Create a broader space for development.This paper takes Hebei Iron and Steel Group as an example, starts with the theory, introduces briefly the related theories of M & A, analyzes the present situation of M & A in China's iron and steel industry, and then takes the theory as the basis.This paper systematically analyzes the course, purpose, mode, measures and effect of Hebei Iron and Steel Group M & A, and summarizes its advantages in the process of M & A.Combined with the present situation of steel industry M & A in China and the related theories of M & A, the reasonable suggestions for M & A of iron and steel industry in China are put forward.The details are as follows:The first chapter summarizes the theoretical basis of M & A, including the basic links of the meaning classification of M & A, the mode of M & A, the effect of M & A, the integration of M & A and so on.The second chapter: deeply analyzes the present situation of the iron and steel industry in China and the present situation of M & A and reorganization, and points out the only way for the iron and steel industry of our country to be bigger and stronger.Chapter three: analyze the road of Hebei Iron and Steel Group M & A, explore the mode of M & A, analyze the integration measures of M & A, evaluate the effect of M & A, and draw the conclusion that the M & A is successful.The fourth chapter: through the case study of Hebei Iron and Steel Group M & A, we can get some enlightenment on the way of reorganization and the measures of reorganization and integration of China's iron and steel industry.
