【摘要】:本文首先分析了我国国企改革的历史与现实背景,指出国企改革是在全球一体化经济发展的大背景下所进行的经济体制深层次变革,认为国企改革面临严峻形势和挑战,至今仍存在诸多理论缺失及现实问题。 本文的核心部分在理论与实践相结合的基础上,通过实例分析与研究揭示了国企改革的深层次矛盾是企业的核心价值观、经营理念、管理制度的建立与创新,其核心与难点是企业组织惯例的打破与重构。国企改制是一场国家经济体制的深刻革命,国企改制的目标是要建立起企业自身的核心竞争力,形成新的经营运作模式,适应国际国内的快速与深刻变化的环境与形势,在市场竞争中占得先机,赢得企业运营的良好绩效和健康发展,充分显现其在国民经济中的主体地位及功能。国企只有不断在市场竞争中获取持续发展的竞争优势,才能体现其在国民经济与社会发展中功能和作用,而这正是国企要通过完成改制实现的终极目标。本文通过对A公司重组改制的实例探讨,找到了一个将企业改制理论贯彻到改制实践并不断修正理论、推进改制进程的最佳切入点。文章从我国当前能源行业发展的实际出发,论述了充满活力的天然气能源市场健康发展的源动力所在及保障机制的形成基础。面对天然气能源行业发展的千载难逢的机遇,如何在当前充满挑战的选择路口,既确保国家对天然气能源命脉的掌控,又不失经济发展的活力与动力,是当前能源行业国企改制的严峻挑战。 在具体操作层面,通过对A公司的改制分析,本文阐明了改制操作的三个基本原则:一是要实现国企改制发展的市场竞争选择;二是要保证国企改制的社会监督到位;三是要保障国企改制中各方股东权益的实现。上述三个基本原则构成了国企新机制建立并有效运行发挥功能的基础,是从根本上影响和制约着国企核心竞争力建立的关键,是判断国企改制成败的关键。
[Abstract]:This paper first analyzes the historical and realistic background of the state-owned enterprise reform in China, and points out that the state-owned enterprise reform is a deep-seated reform of the economic system under the background of the global integrated economic development. It is pointed out that the reform of state-owned enterprises is faced with severe situation and challenges, and there are still many theoretical deficiencies and practical problems. Based on the combination of theory and practice, the core part of this paper reveals that the deep-seated contradiction of state-owned enterprise reform is the establishment and innovation of enterprise's core value, management idea, management system. The core and difficulty of the reform is the breaking and reconstructing of the organizational convention of the enterprise. The reform of the state-owned enterprise is a profound revolution of the national economic system, and the goal of the reform of the state-owned enterprise is to establish the core competitiveness of the enterprise itself. Form a new mode of operation, adapt to the rapid and profound changes in the international and domestic environment and situation, in the market competition, to win good performance and healthy development of business operations. The main position and function of the state-owned enterprises in the national economy are fully manifested. Only when the state-owned enterprises acquire the competitive advantage of sustained development in the market competition, can they embody their functions and functions in the national economy and social development. This is the ultimate goal of the state-owned enterprises through the completion of restructuring. This article through the restructuring of A company to explore the case study, found a corporate restructuring theory to carry out the reform practice and constantly revise the theory. The article starts from the reality of the current energy industry development in China. This paper discusses the source power of the healthy development of the energetic natural gas energy market and the forming foundation of the guarantee mechanism, and the once-in-a-lifetime opportunity for the development of the natural gas energy industry. How to make sure that the state can control the lifeblood of natural gas and not lose the vitality and power of economic development in the current challenging road is a severe challenge to the reform of state-owned enterprises in the energy industry. At the specific operation level, through the analysis of the restructuring of company A, this paper clarifies three basic principles of the restructuring operation: first, to realize the choice of market competition for the development of state-owned enterprises reform; The second is to ensure that the social supervision of the reform of state-owned enterprises is in place; The above three basic principles constitute the basis for the establishment and effective functioning of the new mechanism of state-owned enterprises. It is the key to influence and restrict the establishment of the core competence of the state-owned enterprises, and the key to judge the success or failure of the reform of the state-owned enterprises.
