【摘要】：分离交易的可转换公司债券作为普通可转换公司债券的创新金融工具,是公司债券和认股权证的组合产品,具有较好的融资优势及投资价值。本文从法学的角度,对分离交易的可转换公司债券的基本理论问题及各主体间的利益平衡机制进行了研究,并提出了完善我国分离交易的可转换公司债券制度的建议。论文主要包括以下几个部分的内容：第一部分概括介绍了分离交易的可转换公司债券,涵盖了分离交易的可转换公司债券的发展历史、概念、法律特征、分类及认股权证的内涵等方面内容,为后文的论述进行了铺垫。第二部分主要从利益平衡机制分析我国分离交易的可转换公司债券,阐释了利益平衡学说及分离交易的可转换公司债券利益平衡机制,对分离交易的可转换公司债券各方主体的利益及风险、分离交易的可转换公司债券各主体的利益保护措施及存在的问题进行了分析。第三部分笔者针对我国分离交易的可转换公司债券制度存在的缺陷,从转变资本制度、建立合理的发行制度、加强债权人保护制度、明确规定股东优先权四个方面提出了一些完善我国分离交易的可转换公司债券相关法律制度的建议。本文主要运用了对比分析和理论联系实际的写作方法,对我国分离交易的可转换公司债券制度的法律规定进行了深入探究,并用利益平衡学说、利益平衡机制的理论对分离交易的可转换公司债券各主体的利益保护措施进行了细致阐述,发现了我国分离交易的可转换公司债券制度的一些缺陷,进而提出了一些完善我国现行分离交易的可转换公司债券法律制度的相关意见和建议。
[Abstract]:As the innovative financial instrument of ordinary convertible corporate bonds, the convertible corporate bonds, which are separated and traded, are the combination products of corporate bonds and warrants, which have better financing advantages and investment value. In this paper, the basic theoretical problems of convertible corporate bonds and the mechanism of interest balance among different parties are studied. The paper also puts forward some suggestions on how to perfect the convertible corporate bond system in China. The thesis mainly includes the following parts:. The first part introduces the convertible corporate bonds, including the history, concept, legal characteristics, classification and the connotation of warrants. It paves the way for the following discussion. In the second part, we analyze the convertible corporate bonds in China from the mechanism of interest balance, and explain the theory of interest balance and the mechanism of interest balance of convertible corporate bonds. This paper analyzes the interests and risks of the parties involved in the convertible corporate bonds, and the measures to protect the interests of the parties involved in the separate transactions, as well as the problems existing in the protection of the interests of the parties involved in the convertible corporate bonds. In the third part, the author aims at the defects of the convertible company bond system in China, from changing the capital system, establishing a reasonable issuing system and strengthening the creditor protection system. In this paper, the author puts forward some suggestions on how to perfect the legal system of convertible company bonds in China. This article mainly uses the contrast analysis and the theory unifies the actual writing method, has carried on the thorough exploration to our country separate transaction convertible company bond system legal stipulation, and uses the interest balance theory, The theory of interest balance mechanism elaborates the measures to protect the interests of the main bodies of convertible company bonds, and finds some defects of the convertible company bond system in China. Then some suggestions and suggestions are put forward to perfect the legal system of convertible company bonds.
