我国食品行业并购整合研究
[Abstract]:M & A is a way of capital operation and an important way for enterprises to develop by leaps and bounds. In order to integrate resources and industry, give full play to synergies, strengthen market control ability, reduce business risk, better implement corporate strategy, enterprises actively seek all kinds of M & A opportunities. In China, with the continuous development of the socialist market economy, with the deepening of the reform of the economic system, the constant adjustment of the industrial structure, and the intensification of international competition, and so on, M & A has become an important way to restructure assets and reconfigure resources of Chinese enterprises. However, the practice and empirical research at home and abroad in the last ten years show that the possibility of M & A failure is greater than that of success, and the integration of M & A embodies the value of M & A, and in the whole process of M & A, M & A integration is the core link. Whether a merger and acquisition activity is successful or not, the key is whether the core link is handled properly or not. Only by choosing the integration strategy suitable for the characteristics of M & A enterprises, can the merger parties realize the complementarity of resources and bring into play the synergetic effect so as to produce the effect of 112 and realize the purpose of M & A. Under the background of the wave of M & A, this paper mainly studies the contents of M & A integration in food industry. The paper consists of five chapters. Chapter one: introduction. Based on the current situation of domestic economic forms and the tide of mergers and acquisitions faced by Chinese enterprises, this paper makes a thorough study on the significance of the topic selection of M & A integration in China under the global economic integration, and summarizes the current research situation at home and abroad, as well as the ideas and methods of this paper. Chapter two: the related theoretical research of merger and acquisition integration of enterprises. This paper introduces the general explanation of M & A, the basic theory of integration, as well as the mode, emphasis and difficulty of integration, so as to provide theoretical guidance for the later discussion and analysis. Chapter three: analysis of the present situation of M & A in China's food industry. Firstly, the present situation and market characteristics of food industry in China are introduced. Secondly, the motivation of M & A of food enterprises is analyzed under the background of the whole industry. Finally, the integration problems in the food industry were found out, and the causes of the problems were analyzed. Chapter IV: China's food industry merger and acquisition integration strategy. Based on the analysis of M & A cases, this paper analyzes the process, problems and experiences of M & A by Mengniu and Jasper, summarizes its inspiration to M & A and integration of other food enterprises, and then aims at the characteristics of food industry. Put forward the corresponding integration suggestions. Chapter five: the conclusion and prospect of the research. Summarize the full text conclusion, find out the deficiency and limitation, put forward the prospect.
