【摘要】：在世界禁烟浪潮不断高涨的大环境下,烟草行业倍受社会关注。行业法律风险增加,烟草商业企业营运面临具大的法律风险,如何识别、规避风险对烟草商业企业具有十分重要的现实意义。本文针对岳阳烟草商业企业的内部规章制度的特征,采取发放调查问卷、流程分析、事件列表、专题座谈等方式,全而梳理识别、分类、评估企业内部规章制度法律风险。在此基础上建立岳阳烟草商业企业的内部规章制度风险控制与防范体系。构建岳阳烟草商业企业内部规章制度法律风险分析、控制和控制实施评估管理体系,建立一套法律风险运行的支撑制度体系,涉及法律风险数据库更新制度、重大法律风险识别预警制度、重大法律风险审计制度、法律风险管理组织机构制度、法律风险报告制度和责任追究制度等。通过建立法律风险防范与控制机制,发现、识别、分析、控制和处理岳阳烟草商业企业内部规章制度面临的各项法律风险,制定、实现相应的应对措施,使法律风险被控制在企业所能接受的范围内,实现企业承担的法律风险与经营收益相优化和平衡。
[Abstract]:Under the background of the world anti-smoking tide, the tobacco industry has been paid more attention by the society. With the increase of the legal risk of the industry, the operation of the tobacco commercial enterprise is faced with great legal risk. How to identify and avoid the risk is of great practical significance to the tobacco commercial enterprise. According to the characteristics of the internal rules and regulations of Yueyang tobacco commercial enterprises, this paper adopts the methods of questionnaire, process analysis, event list, special discussion and so on, to identify, classify and evaluate the legal risks of the internal rules and regulations of the enterprises. On this basis, the internal regulatory risk control and prevention system of Yueyang tobacco commercial enterprise is established. To construct the legal risk analysis of the internal rules and regulations of Yueyang tobacco commercial enterprise, to control and control the implementation evaluation management system, to establish a set of supporting system for the operation of the legal risk, involving the updating system of the legal risk database. The major legal risk identification and warning system, the major legal risk audit system, the legal risk management organization system, the legal risk report system and the responsibility investigation system and so on. Through the establishment of legal risk prevention and control mechanism, to discover, identify, analyze, control and deal with the various legal risks faced by the internal rules and regulations of Yueyang tobacco commercial enterprises, formulate and implement corresponding countermeasures. The legal risk should be controlled within the acceptable scope of the enterprise, and the legal risk and the operating income should be optimized and balanced.
