【摘要】：产业并购可以通过多种方式进行融资,其中并购基金(私募基金的一种)由于能够和上市公司形成有效的配合和互补,已经成为目前资本市场的热点。文章在阐述上市公司并购基金概念的基础上,厘清了上市公司并购基金的逻辑,梳理了并购基金的组织形式,分析了上市公司并购基金的运作模式与盈利模式。
[Abstract]:Industrial M & A can be financed by a variety of ways, among which M & A funds (one of the private equity funds) have become a hot spot in the capital market because they can cooperate and complement each other effectively with listed companies.On the basis of expounding the concept of M & A fund of listed company, this paper clarifies the logic of M & A fund of listed company, combs the organizational form of M & A fund, and analyzes the operating mode and profit mode of M & A fund of listed company.
