中小企业私募债券合格投资者法律问题研究

【摘要】：中小企业私募债券作为我国交易所非公开发行债券市场的新产品，虽酝酿已久，但截至目前尚处在试点阶段，各项制度也都在研究探索阶段。合格投资者制度作为核心制度，更是处于一个不断探索完善的阶段。本文从法律角度对中小企业私募债券合格投资者法律问题进行研究。通过讨论建立该制度的必要性，并梳理国内外相关规范、试点期间具体规范，进而对试点期间合格投资者法律问题进行反思。结合国内外的相关经验教训，提出了对中小企业私募债券合格投资者法律问题的具体完善方案。本文第一部分主要探讨建立中小企业私募债券合格投资者法律制度的必要性。以阐述该制度基本问题为起点，进而从理论和现实两个方面探讨建立中小企业私募债券合格投资者制度的必要性。理论层面的必要性主要有三点：中小企业私募债券基本特性的内在需要，合格投资者制度保护投资者利益的需要，发挥平衡证券行为自由与市场监管功能的需要。现实层面的必要性主要是依据试点运行情况，说明需要建立完善的合格投资者法律制度。第二、三部分，主要通过介绍国内外合格投资者法律制度的演变和基本现状，并梳理试点阶段合格投资者的具体规定，进而在比较中进行反思。其中，第二部分主要介绍了以美国为代表的私募证券合格投资者法律制度的演变情况，梳理我国其他私募债券合格投资者的现行规范，为完善我国中小企业私募债券合格投资者法律问题提供有利借鉴；第三部分对试点期间的中小企业私募债券合格投资者相关规范进行梳理，在此基础上对我国中小企业私募债券合格投资者法律问题进行反思。第四部分从法律角度对上述中小企业私募债券合格投资者法律问题提出具体建议。首先，明确合格投资者的界定标准要坚持主客观相结合的原则；其次，按照不同类型的合格投资者对认定标准进行细化；最后，，对合格投资者人数的限制以及计算方式提出具体建议。
[Abstract]:The private - equity bonds of small and medium - sized enterprises ( SMEs ) , as a new product of the non - public offering bond market of our exchange , have been brewing for a long time . The first part of this paper mainly discusses the necessity of establishing the legal system of private - equity bond qualified investor in small and medium - sized enterprises . The second part mainly introduces the evolution of the legal system of qualified investors at home and abroad , and sorts out the specific regulations of qualified investors in the pilot phase , and then reflects on the comparison . The fourth part puts forward specific suggestions on the legal problems of the above - mentioned private - equity bond qualified investors from the angle of law . First , it is clear that the definition standard of qualified investors should adhere to the principle of subjective and objective combination ; secondly , the qualification standards are refined according to different types of qualified investors ; and finally , specific suggestions are put forward on the limitation of the number of qualified investors and the calculation methods .
